(86) Directive 2001/24/EC of the European Parliament and of the Council of 4 April 2001 on the reorganisation and winding-up of credit institutions provides for the mutual recognition and enforcement in all Member States of decisions concerning the reorganisation or winding up of credit institutions having branches in Member States other than those in which they have their head offices.

The Directive on the reorganisation and winding up of credit institutions provides that, in the event of the bankruptcy of a credit institution which has branches in other Member States, reorganisation measures and the winding up proceedings form part of a single insolvency procedure in the Member State in which the establishment has its registered office (the so‑called ‘State of origin’).

To the extent that a credit institution associates or maps its internal grades to the scale used by an ECAI or similar organisations and then attributes the default rate observed for the external organisation's grades to the credit institution's grades, mappings shall be based on a comparison of internal rating criteria to the criteria used by the external organisation and on a comparison of the internal and external ratings of any common obligors.
64. (27) For the purpose of strengthening the prudential supervision of credit institutions and the protection of clients of credit institutions, auditors should have a duty to report promptly to the competent authorities, wherever, during the performance of their tasks, they become aware of certain facts which are liable to have a serious effect on the financial situation or the administrative and accounting organisation of a credit institution.

The Commission will ask Belgium, Czech Republic, Estonia, Greece, Italy, Latvia, Luxembourg, Netherlands, Portugal, Slovakia, Spain, Sweden and the United Kingdom to implement quickly the necessary legislation in a total of 25 cases covering Directives on supplementary supervision of financial conglomerates, reorganisation and winding up of credit institutions, activity of e-money institutions, accounting rules, winding up of insurance services, life assurance, postal services and conditional access services.

Without prejudice to points (c), (d) and (g) of paragraph 1, the opening of winding-up proceedings or the adoption of a reorganisation measure shall not affect the right of a creditor, by operation of law, to set his claims off against the claims of the credit institution where such a set-off is permitted by the law of the Member State applicable to the credit institution's claim.

The adoption of reorganisation measures or the opening of winding-up proceedings shall not affect the right of creditors to demand the set-off of their claims against the claims of the credit institution, where such a set-off is permitted by the law applicable to the credit institution's claim.

They are added to the proposals already presented to the Council, namely the introduction of deposit-guarantee schemes for all credit institutions, the harmonization of national laws relating to the reorganization and the winding-up of credit institutions and a recommendation for a Council Decision authorizing the Commission to negotiate with third countries bilateral agreements on the supervision of credit institutions on a consolidated basis.
