In the light of the judgment of the Court of Justice of 6 May 2008 in Case C-133/06 Parliament v Council , it is considered necessary to redraft the wording of Article 6(3) of Directive 77/91/EEC in order to remove an existing secondary legal basis and to provide for the examination and, if need be, the revision of the amount referred to in paragraph 1 of that Article by both the European Parliament and the Council.
À la lumière de l'arrêt de la Cour de justice du 6 mai 2008 dans l'affaire C-133/06, Parlement européen contre Conseil de l'Union européenne , il est jugé nécessaire de reformuler le libellé de l'article 6, paragraphe 3, de la directive 77/91/CEE afin de supprimer une base juridique dérivée existante et de prévoir que le Parlement européen et le Conseil procèdent à l'examen et, le cas échéant, à la révision du montant visé au paragraphe 1 dudit article.

The scope of Second Council Directive 77/91/EEC of 13 December 1976 on coordination of safeguards which, for the protection of the interests of members and others, are required by Member States of companies within the meaning of the second paragraph of Article 58 of the Treaty, in respect of the formation of public limited liability companies and the maintenance and alteration of their capital, with a view to making such safeguards equivalent , and of Third Council Directive 78/855/EEC of 9 October 1978 based on Article 54(3)(g) of the Treaty concerning mergers of public limited liability companies , should be adapted in order to reflect changes in Finnish company law.
Il convient d’adapter aux modifications du droit finlandais des sociétés le champ d’application de la deuxième directive 77/91/CEE du Conseil du 13 décembre 1976 tendant à coordonner pour les rendre équivalentes les garanties qui sont exigées dans les États membres des sociétés au sens de l’article 58, deuxième alinéa, du traité, en vue de la protection des intérêts tant des associés que des tiers, en ce qui concerne la constitution de la société anonyme ainsi que le maintien et les modifications de son capital , et de la troisième directive 78/855/CEE du Conseil du 9 octobre 1978 fondée sur l’article 54, paragraphe 3, point g), du traité et concernant les fusions des sociétés anonymes

2. In order to take account of the specificity of Regulations (EEC) No 2092/91, (EEC) No 2081/92 and (EEC) No 2082/92, specific measures to be adopted by the Commission may provide for the necessary derogations from, and adjustments to, the rules laid down in this Regulation.

Directives 77/91/EEC, 78/855/EEC, 82/891/EEC and 2005/56/EC should therefore be amended accordingly.

Finally, if the reason for the levy is to ensure public health, the financing of health monitoring is in theory, according ADEPALE, covered by Council Directive 96/43/EC amending and consolidating Directive 85/73/EEC in order to ensure financing of veterinary inspections and controls on live animals and certain animal products and amending Directives 90/675/EEC and 91/496/EEC (19) and its transposal into French law.
