Member States should take the necessary measures to afford any offeror the possibility of purchasing the securities of the offeree company, by neutralising provisions placing restrictions on the transfer of securities and on voting rights, and to render ineffective any restrictions on the transfer of securities and on voting rights which may prevent an offeror who holds sufficient securities of the offeree company from exercising the corresponding voting rights in order to amend the company’s articles of association, by neutralising restrictions on the voting rights and special appointment rights held by shareholders at the first general meeting following closure of the bid.
18. at the latest from the time when, by whatever means, the existence of a bid becomes known and at all events after receiving the information referred to in Article 6(1), first sentence, concerning the bid and until the result of the bid is made public or the bid lapses, the board of the offeree company shall abstain from completing any action other than seeking alternative bids which may result in the frustration of the offer, and notably from the issuing of shares which may result in a lasting impediment to the offeror to obtain control over the offeree company, unless it has the prior authorisation of the general meeting of the shareholders and the supervisory board (if any) given for this purpose, during the period of acceptance of the bid;
