On Tuesday, February 20, 2007, the Committee heard from Ken Kember, Vice-President and Corporate Controller, Export Development Canada; Paul Buron, Vice-President and Chief Financial Officer, Finance, Systems and Technology, Treasury and Enterprise Risk Management and Stefano Lucarelli, Vice-President, Finance, from the Business Development Bank of Canada; John Wiersema, Deputy Auditor General and Doug Timmins, Assistant Auditor General, of the Office of the Auditor General of Canada; and Paul Jenkins, Senior Deputy Governor, of the Bank of Canada.

``13.1 (1) No transaction that is made by the Minister or CN at any time before the first day that more than fifty percent of the shares in CN are owned by parties other than Her Majesty in right of Canada (a) that would transfer to Her Majesty in right of Canada any part, subsidiary, operation or property of CN with a value exceeding one million dollars, or (b) that would transfer to a party other than Her Majesty in right of Canada any part, subsidiary, operation or property of CN with a value exceeding ten million dollars, shall be entered into unless (c) the Minister has referred the matter to the Auditor General of Canada, and (d) the Auditor General has reviewed the transaction and prepared and caused to be laid before the House of Commons, a report stating that, in the opinion of the Auditor General, the transaction is in the interest of CN and of Canada (2) The Auditor General shall cause the report to be laid before the House of Commons within fifteen days after the date of referral by the Minister'.
«13.1 (1) Avant que plus de cinquante pour cent des actions du CN ne soient devenues la propriété de personnes autres que Sa Majesté du chef du Canada, le ministre ne peut procéder à aucune opération qui aurait pour effet: a) soit de transférer à Sa Majesté du chef du Canada quelque partie, filiale, entreprise ou bien du CN dont la valeur dépasse un million de dollars; b) soit de transférer à une personne autre que Sa Majesté du chef du Canada quelque partie, filiale, entreprise ou bien du CN dont la valeur dépasse dix millions de dollars, à moins d'avoir, à la fois: c) référé l'opération au vérificateur général; d) obtenu de lui qu'il examine l'opération et prépare un rapport à déposer devant la Chambre des communes, dans lequel il atteste que l'opération est à l'avantage du Canada et du CN (2) Le vérificateur général fait déposer le rapport devant la Chambre des communes dans les quinze jours suivant la date du renvoi par le Ministre».
