21 (1) The Superintendent, a person appointed under subsection 5(5), a Deputy Superintendent or a person appointed under section 11 shall not accept or receive, directly or indirectly, any grant or gratuity from a financial institution, bank holding company or insurance holding company, or from a director, officer or employee of any of them, and no such financial institution, bank holding company, insurance holding company, director, officer or employee shall make or give any such grant or gratuity.

Is alarmed at the under-representation of women in decision-making processes, companies and their boards of directors, science and the political sphere, at both national and international level (large companies, national and European elections) and, in particular, at local level; calls for women to be supported in their professional development and efforts to obtain executive posts, and calls on the EU institutions to pay greater attention to the finding that a mere 17,8 % of board members of the largest publicly listed companies in the EU are women;

7. Deposits by a credit institution's own directors, managers, members personally liable, holders of at least 5 % of the credit institution's capital, persons responsible for carrying out the statutory audits of the credit institution's accounting documents and depositors of similar status in other companies in the same group.

5. Believes that the chair and the voting members of the remuneration committee must be members of the management body who do not perform any executive functions in the financial institution or the listed company concerned. Takes the view that directors and board members should avoid simultaneously sitting on the boards of other companies if there is a potential for any conflict of interest occurring;

Therefore, the rapporteur welcomes the initiatives proposed by the G 20, the Larosière report and by the European Commission taken up in its two recommendations, (Commission Recommendation of 30 April 2009 on remuneration policies in the financial services sector (C(2009) 3159), and the Commission Recommendation of 30 April 2009 complementing Recommendations 2004/913/EC and 2005/162/EC as regards the regime for the remuneration of directors of listed companies (C(2009) 3177), in which the European Commission has given its views on remuneration policy of directors in financial institutions and in stock exchange listed companies.
Aussi votre rapporteur se félicite-t-il des initiatives proposées par le G20, du rapport de Larosière et des deux recommandations adoptées par la Commission européenne (la recommandation du 30 avril 2009 sur les politiques de rémunération dans le secteur des services financiers (C(2009)3159) et celle du 30 avril 2009 complétant les recommandations 2004/913/CE et 2005/162/CE en ce qui concerne le régime de rémunération des administrateurs des sociétés cotées (C(2009)3177)), dans lesquelles celle-ci expose sa position sur la politique de rémunération des administrateurs des établissements financiers et des sociétés cotées en Bourse.

The programme contains several occasions for them to do this, including a Round Table discussion with Mr Hashimoto, a seminar with the Keidanren, and a dinner with Japan's institute of company directors, the Keizai Doyukai. The companies are not going to Japan merely to sign contracts. They are participating in an effort to get the view of European business across about selling and investing in Japan, in a way that complements the efforts made by the European Commission and by national governments.
