(73) Leaving aside the complexity of the legal and financial arrangements behind the intervention in June 1998 of Worldwide Investors, which injected BEF 100 million into Verlipack Holding II, one indisputable fact stands out: in December 1998 the Beaulieu Group settled a debt of BEF 113712000 towards the Walloon Region by transferring, in lieu of payment, 9704 shares in Verlipack Holding II, the nominal value of which was BEF 100 million but the real value of which was to prove significantly lower given the assets position of the company.
(73) Indépendamment de la complexité du dispositif juridico-financier qui sous-tend l'intervention en juin 1998 de la société luxembourgeoise de participations financières Worldwide Investors, qui a assuré l'apport de 100 millions de BEF à Verlipack Holding II, un élément indiscutable se détache: le groupe Beaulieu a soldé en décembre 1998 une dette de 113712000 BEF vis-à-vis de la Région wallonne par la dation en paiement de 9704 actions de Verlipack Holding II, dont la valeur nominale était de 100 millions de BEF, mais dont la valeur réelle devait être considérablement inférieure, compte tenu de la situation patrimoniale de ladite société.

(88) The response to the initiation of procedure suggests, although there is nothing substantial to bear this out, that the supposed verbal agreement between the Beaulieu Group and the Walloon Region according to which the former would take over the latter's undertaking (under the Heads of Agreement of 5 June 1998) to find an investor that would put up BEF 100 million went well beyond the Walloon Region's undertaking under the Heads of Agreement (to find an investor that would put up BEF 100 million).
(88) La réponse à l'ouverture de la procédure suggère - sans que cela soit étayé par aucun élément concret - que le prétendu accord verbal entre le groupe Beaulieu et la Région wallonne, selon lequel le premier reprendrait l'engagement pris par la deuxième (dans le cadre des Heads of Agreement du 5 juin 1998) de trouver un investisseur qui apporterait 100 millions de BEF, aurait une portée allant bien au-delà de l'engagement pris par la Région wallonne dans le cadre des Heads of Agreement (trouver un investisseur qui apporterait 100 millions de BEF).

(89) The suggestion is that the Beaulieu Group did not merely take over the Walloon Region's undertaking under the Heads of Agreement (to find an investor that would put up BEF 100 million) but, going beyond that undertaking, intended to ensure in any event that BEF 100 million would be contributed to Verlipack Holding II's capital without its having to put up that amount itself, something which Sowagep supposedly guaranteed to it.
(89) Ainsi, le groupe Beaulieu ne se serait pas seulement substitué à l'engagement pris par la Région wallonne dans le cadre des Heads of Agreement (trouver un investisseur qui apporterait 100 millions de BEF), mais, en allant au-delà de cet engagement, il entendait obtenir en tout état de cause l'apport de 100 millions de BEF dans le capital de Verlipack Holding II, sans que cet apport ne soit supporté par le groupe Beaulieu, ce que la Sowagep lui aurait garanti.

(90) On the basis of the information supplied by Belgium, the Commission considers that the Member State has not demonstrated: (i) that an agreement under which the Beaulieu Group is said to have taken over the undertaking to find an investor that would put up BEF 100 million actually existed; (ii) that there was also a second, separate and more extensive, agreement under which the Walloon Region allegedly guaranteed to the Beaulieu Group repayment of the BEF 100 million that a private investor should have contributed.
(90) Sur la base des éléments fournis par la Belgique, la Commission considère que l'État membre n'a pas démontré: i) l'existence d'un accord selon lequel le groupe Beaulieu aurait repris l'engagement de trouver un investisseur qui apporterait 100 millions de BEF; ii) l'existence d'un deuxième accord - distinct et allant au-delà du premier - selon lequel la Région wallonne aurait garanti au groupe Beaulieu le remboursement des 100 millions de BEF qu'un investisseur privé aurait dû apporter.

In this context, and in addition to converting its BEF 150 million loan into capital, Sowagep undertook to find a new private investor willing to make a cash injection of BEF 100 million.
