Bill C-18 adds a new section 3.13(1.1) to the Act, which allows the CWB not only to indemnify a director after the fact, but also to advance funds to pay for the above legal costs unless there are reasonable grounds to believe that the director did not act honestly and in good faith (clause 8 of the bill).
Le projet de loi ajoute à la LCCB le nouveau paragraphe 3.13(1.1), qui autorise la Commission non seulement à indemniser un administrateur après coup, mais également à lui avancer des fonds destinés à payer les frais juridiques mentionnés ci-dessus, sauf s’il existe des motifs raisonnables de croire que l’administrateur n’a pas agi avec intégrité et de bonne foi (art. 8 du projet de loi).
