Le Company Act prévoit que les administrateurs qui, par vote ou acquiescement, approuvent l'adoption d'une résolution autorisant, à l'encontre de la loi, un achat, un rachat ou une acquisition d'actions, une commission ou un escompte, le paiement d'un dividende alors que la société est insolvable ou le deviendrait, un prêt, une garantie ou une aide financière, le paiement d'une indemnité à un administrateur ou à un ancien administrateur sans l'approbation du tribunal ou la rémunération que la société a versée dans le cadre d'une activité qui lui est interdite, sont solidairement tenus d'indemniser la société de la perte encourue(< 42> ).
