(25)‘liquid market’ means a market for a financial instrument or a class of financial instruments, where there are ready and willing buyers and sellers on a continuous basis, assessed in accordance with the following criteria, taking into consideration the specific market structures of the particular financial instrument or of the particular class of financial instruments:

As direct financial liability of the managing authority towards bodies implementing financial instruments or final recipients as well as its liability as regards any other debt or obligation of the financial instrument may not exceed the amount committed by the managing authority to the financial instrument under the relevant funding agreements, the bodies implementing financial instruments shall ensure that no claims can be made on the managing authority beyond the amount committed by it to the financial instrument.

Member States shall adopt the necessary measures to ensure that resources paid back to financial instruments, including capital repayments and gains and other earnings or yields generated during a period of at least 8 years after the end of the eligibility period, which are attributable to the support from the European Structural and Investment Funds to financial instruments pursuant to Article 32, are used in accordance with the aims of the programme or programmes, either within the same financial instrument or, following the exit of these resources from the financial instrument, in other financial instruments in both cases provided that an assessment of market conditions demonstrates a continuing need for such investment or in other forms of support .

Interest and other gains attributable to support from the European Structural and Investment Funds paid to financial instruments shall be used for the same purposes, including the reimbursement of management costs incurred or payment of management fees of the financial instrument in accordance with Article 36(1)(d), and expenditure paid in line with Article 36(2), as the initial support from the European Structural and Investment Funds either within the same financial instrument, or following the winding up of the financial instrument, in other financial instruments or forms of support in accordance with the specific objectives set out under a priority, until the end of the eligibility period .

(d) for persons charged with the execution of orders concerning financial instruments, it also means information conveyed by a client and related to the client's pending orders in financial instruments, which is of a precise nature, which relates, directly or indirectly, to one or more issuers of financial instruments or to one or more financial instruments, and which, if it were made public, would be likely to have a significant effect on the prices of those financial instruments, the price of related spot commodity contracts, or on the price of related derivative financial instruments;

3 Acknowledges the fact that the Energy Efficiency Fund (EEEF) works by offering potential beneficiaries similar financing terms, that may be less favourable, to those offered by the ordinary market; regrets that the Fund, while in effect qualifying as a financial instrument, is considered by the Commission to be a type of subsidy, which means that EEEF beneficiaries are therefore not eligible for any aid from the structural funds; emphasises, therefore, the necessity to ensure in the future that new financial instruments are compatible with structural funds and with other subsidising instruments made available by the European Union; notes that well-functioning financial instruments in the field of energy efficiency can produce fast results, and suggests, therefore, to improve the EEEF by turning it into a revolving fund offering real opportunities in investing, directly or indirectly via financial institutions, in smaller-scale energy efficiency and renewable energy projects;
3. reconnaît que les conditions de financement proposées aux potentiels bénéficiaires par le Fonds européen pour l'efficacité énergétique (FEEE) sont semblables aux conditions offertes sur le marché ordinaire, voire moins avantageuses que celles-ci; regrette que ce Fonds, bien qu'étant dans les faits un instrument de financement, soit considéré par la Commission comme un type de subvention, ce qui signifie que ses bénéficiaires ne sont donc pas éligibles aux aides des fonds structurels; souligne, par conséquent, la nécessité de garantir à l'avenir la compatibilité des nouveaux instruments financiers avec les fonds structurels et les autres instruments de subvention mis à disposition par l'Union européenne; relève que des instruments de financement performants dans le domaine de l'efficacité énergétique peuvent produire des résultats rapidement et propose dès lors d'améliorer le FEEE en le transformant en un Fonds renouvelable offrant de véritables possibilités d'investissements directs ou indirects, par l'intermédiaire d'établissements financiers, dans des projets de petite échelle et dans le secteur des énergies renouvelables;

Highlights the recommendations made by the European Court of Auditors (ECA) in its opinion 6/2010 on the Financial Regulation with regard to the need to (a) clarify the ownership of financial instruments, (b) ensure consistency in the accounting and reporting of financial instruments in the financial statement, (c) adopt clear implementing rules on monitoring and (d) reinforce the Commission’s staff capacity to operate complex financial instruments;
