(1) The Single European Sky Air Traffic Management Research and Development project (the 'SESAR project') aims to modernise the air traffic management ('ATM') in Europe and represents the technological pillar of the Single European Sky.

In order to clarify the relationship between this Regulation and other rules on collective investment undertakings and their managers, it is necessary to establish that this Regulation only apply to managers of collective investment undertakings other than UCITS falling within the scope of Directive 2009/65/EC of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations, and administrative provisions, relating to undertakings for collective investment in transferable securities (UCITS) (4), which are established in the Union and are registered with the competent authority in their home Member State in accordance with Directive 2011/61/EU of the European Parliament and of the Council of 8 June 2011 on Alternative Investment Fund Managers (5), provided that those managers manage portfolios of qualifying social entrepreneurship funds.
Afin de clarifier l'articulation entre le présent règlement et d'autres règles applicables aux organismes de placement collectif et à leurs gestionnaires, il est nécessaire de préciser que le présent règlement ne s'applique qu'aux gestionnaires d'organismes de placement collectif autres que les OPCVM relevant du champ d'application de la directive 2009/65/CE du Parlement européen et du Conseil du 13 juillet 2009 portant coordination des dispositions législatives, réglementaires et administratives concernant certains organismes de placement collectif en valeurs mobilières (OPCVM) (4), qui sont établis dans l'Union et enregistrés auprès de l'autorité compétente de leur État membre d'origine conformément à la directive 2011/61/UE du Parlement européen et du Conseil du 8 juin 2011 sur les gestionnaires de fonds d'investissement alternatifs (5), pour autant que ces gestionnaires gèrent des portefeuilles de fonds d'entrepreneuriat social éligibles.

(27) The Commission should be empowered to adopt delegated acts in accordance with Article 290 of the Treaty on the Functioning of the European Union, in order to determine the procedures under which AIFM managing portfolios of AIF whose assets under management do not exceed the threshold set out in this Directive may exercise their right to be treated as AIFM covered by this Directive. These delegated acts may also specify the criteria to be used by competent authorities to assess whether AIFM comply with their obligations as regards their conduct of business, the type of conflicts of interests AIFM have to identify, as well as the reasonable steps AIFM are expected to take in terms of internal and organizational procedures in order to identify, prevent, manage and disclose conflicts of interest. They may specify the risk management requirements to be employed by AIFM as a function of the risks which the AIFM incurs on behalf of the AIF that it manages as well as any arrangements needed to enable AIFM to manage the particular risks associated with short selling transactions, including any relevant restrictions that might be needed to protect the AIF from undue risk exposures. They may specify the liquidity management requirements of this Directive and in particular the minimum liquidity requirements for AIF, they may specify the requirements that originators of securitisation instruments have to meet in order for an AIFM to be allowed to invest in such instruments issued after 1 January 2011. They may as well specify the requirements that AIFM have to comply with when investing in such securitisation instruments. 1. Supports the main guidelines set out in the Commission communication, which was drawn up in response to the report by Mr Jaap Winter. Deplores, however, the narrow focus on almost exclusively the shareholders-management relationship, is not convinced of the assumption that shareholders are the best and only watchdog against the failures and scandals in recent history, and regrets the underestimation of and lack of attention to the role of company management (executive and non-executive) to safeguard the balance between the interests of different stakeholders and the wider public interest in a broader context of corporate social responsibility. A European initiative is vital to strengthen or restore public confidence in European financial markets. The aim is to make existing rules on company law more flexible and, in particular, facilitate cross-border restructuring in Europe. Integration of the financial markets brings with it a need to reform corporate governance. A measure of this kind must promote convergence of these rules and prevent excessive legal competition between Member States of the Union.
