An exception to these basic rules is for consumer contracts so that when the acquirer of goods or services under a contract is a consumer (i.e. acting outside his trade or profession), an express choice of law cannot exclude the protection of the 'mandatory rules' of the law of the country of his habitual residence; and in the absence of a choice of law, the whole contract is governed by the law of the consumer's habitual residence.

to defend the inclusion of a regulatory annex on government procurement with a view to maximising the participation of European companies in foreign tenders, while maintaining EU criteria, including social and environmental criteria, and procedures in European tenders, notably regarding SMEs’ access to public contracts, the eligibility criteria based on the best ‘quality-price’ ratio and the thresholds below which commitments do not apply; to overcome the lack of transparency and market entry barriers regarding non-European calls for tenders and to denounce the lack of reciprocity in this area at all levels of government, as illustrated by the preferential treatment granted to domestic companies in several countries, while allowing for the possibility of opting for market access and national treatment commitments for the sake of multilateralisation; to encourage the ratification and implementation by those parties who have not yet done so of the WTO Government Procurement Agreement and its 2011 revision; to call on the European Union to introduce a ‘European Business Act’, modelled on the ‘American Business Act’ and supporting the economic development of SMEs and European industry;

A unilateral act intended to have legal effect relating to an existing or contemplated contract is formally valid if it satisfies the formal requirements of the law which governs or would govern the contract in substance under this Regulation, or of the law of the country where the act was done, or of the law of the country where the person by whom it was done had his habitual residence at that time.

A unilateral act intended to have legal effect relating to an existing or contemplated contract is formally valid if it satisfies the formal requirements of the law which governs or would govern the contract in substance under this Regulation or of the law of the country in which the act is performed or the law of the country in which the person who drafted it has his habitual residence at that time.

If carriage governed by a single contract is performed by several successive carriers, each carrier, by the very act of taking over the luggage with the luggage registration voucher or the vehicle with the carriage voucher, shall become a party to the contract of carriage in respect of the forwarding of luggage or the carriage of vehicles, in accordance with the terms of the luggage registration voucher or of the carriage voucher and shall assume the obligations arising therefrom.

In the review which is currently taking place of the Directives governing public procurement contracts which became necessary after the conclusion of the "Government Procurement Act" in 1994, provisions are now being included by the European Parliament which introduce a maximum payment period and the imposition of an interest payment on late payments.
