Notwithstanding paragraph 2, if the ESM unanimously requests the ECB to take over direct supervision of a credit institution, financial holding company or mixed financial holding company as a precondition for its direct recapitalisation, the ECB may immediately start carrying out the tasks conferred on it by this Regulation in respect of that credit institution, financial holding company or mixed financial holding company, and following a decision addressed to the entities concerned and to the national competent authorities concerned.

3. Competent authorities shall require institutions controlled by a parent financial holding company or a parent mixed financial holding company in a Member State, to the extent and in the manner prescribed in Part One, Title II, Chapter 2, Sections 2 and 3 of Regulation (EU) No 575/2013 to meet the obligations set out in Article 73 of this Directive on the basis of the consolidated situation of that financial holding company or mixed financial holding company.
3. Les autorités compétentes exigent des établissements contrôlés par une compagnie financière holding mère ou une compagnie financière holding mixte mère dans un État membre, dans la mesure et de la manière prévues à la première partie, titre II, chapitre 2, sections 2 et 3, du règlement (UE) no 575/2013, qu'ils satisfassent aux obligations énoncées à l'article 73 de la présente directive sur la base de la situation consolidée de cette compagnie financière holding ou de cette compagnie financière holding mixte.

Where, in applying this Directive and Regulation (EU) No 575/2013, the competent authorities of one Member State wish in specific cases to check the information concerning an institution, a financial holding company, a mixed financial holding company, a financial institution, an ancillary services undertaking, a mixed-activity holding company, a subsidiary as referred to in Article 125 or a subsidiary as referred to in Article 119(3), situated in another Member State, they shall ask the competent authorities of that other Member State to have that check carried out.

3. Before the 1 of January 2014 the ECB may, by a decision addressed to the credit institution, financial holding company or mixed financial holding company and the national competent authority of the participating Member States concerned, start carrying out the tasks conferred on it by this Regulation, in particular in relation to the credit institutions which have received or requested direct or indirect European financial assistance from the EFSF or the ESM or any other facilities of public financial assistance and credit institutions which pose a systemic risk, as defined in EU law, individually or as part of a group of credit institutions, financial holding companies and mixed financial holding companies.
3. Avant le 1 janvier 2014, la BCE peut, par une décision adressée à un établissement de crédit, une compagnie financière holding ou une compagnie financière holding mixte ainsi qu'à l'autorité nationale compétente de l'État membre participant concerné, commencer à s'acquitter pour cette entité des missions que lui confie le présent règlement, notamment en ce qui concerne les établissements de crédit qui ont reçu ou sollicité une aide financière européenne directe ou indirecte du FESF ou du MSE ou de tout autre instrument d'aide financière publique ainsi que les établissements de crédit qui présentent un risque systémique, tel qu'il est défini dans le droit de l'Union, individuellement ou comme membre d'un groupe d'établissements de crédit, de compagnies financières holding ou de compagnies financières holding mixtes.

Competent authorities shall require institutions controlled by a parent financial holding company or a parent mixed financial holding company in a Member State, to the extent and in the manner prescribed in Article 16 of Regulation [inserted by OP], to meet the obligations laid down in Article 72 on the basis of the consolidated financial situation of that financial holding company or mixed financial holding company.

Where, in applying this Directive and Regulation [inserted by OP], the competent authorities of one Member State wish in specific cases to verify the information concerning a institution, a financial holding company, a mixed financial holding company, a financial institution, an ancillary services undertaking, a mixed-activity holding company, a subsidiary of the kind covered in Article 119 or a subsidiary of the kind covered in Article 114(3), situated in another Member State, they shall ask the competent authorities of that other Member State to have that verification carried out.

3. In the cases referred to in points (a) and (b) of paragraph 2, where the participating insurance or reinsurance undertaking or the insurance holding company or mixed financial holding company which has its head office in the Union is either a related undertaking of, or is itself a regulated entity or a mixed financial holding company which is subject to supplementary supervision in accordance with Article 5(2) of Directive 2002/87/EC, the group supervisor may, after consulting the other supervisory authorities concerned, decide not to carry out the supervision of risk concentration referred to in Article 244 of this Directive, the supervision of intra-group transactions referred to in Article 245 of this Directive, or both, at the level of that participating insurance or reinsurance undertaking or that insurance holding company or mixed financial holding company.
3. Dans les cas visés au paragraphe 2, points a) et b), lorsque l’entreprise d’assurance ou de réassurance participante, la société holding d’assurance ou la compagnie financière holding mixte ayant son siège social dans l’Union est soit une entreprise liée d’une entité réglementée ou d’une compagnie financière holding mixte assujettie à une surveillance complémentaire conformément à l’article 5, paragraphe 2, de la directive 2002/87/CE, soit elle-même une entité réglementée ou une compagnie financière holding mixte assujettie à la même surveillance, le contrôleur du groupe peut, après consultation des autres autorités de contrôle concernées, décider de ne pas effectuer le contrôle de la concentration de risques visé à l’article 244 de la présente directive, le contrôle des transactions intragroupe visé à l’article 245 de la présente directive ou les deux, au niveau de cette entreprise d’assurance ou de réassurance participante, de cette société holding d’assurance ou de cette compagnie financière holding mixte.

Without prejudice to their criminal law provisions, Member States shall ensure that penalties or measures aimed at ending observed breaches or the causes of such breaches may be imposed on financial holding companies, mixed financial holding companies and mixed activity holding companies, or their effective managers, that infringe laws, regulation or administrative provisions brought into force to transpose Articles 124 to 141 and this Article.
Les États membres veillent à ce que, sans préjudice de leurs dispositions de droit pénal, des sanctions ou des mesures visant à mettre fin aux infractions constatées ou à leurs causes puissent être imposées aux compagnies financières holding, aux compagnies financières holding mixtes et aux compagnies holding mixtes ou à leurs dirigeants responsables qui sont en infraction avec les dispositions législatives, réglementaires ou administratives mises en vigueur afin de transposer les articles 124 à 141 et le présent article.

In the cases referred to in points (a) and (b) of paragraph 2, where the participating insurance or reinsurance undertaking or the insurance holding company or mixed financial holding company which has its head office in the Union is either a related undertaking of, or is itself a regulated entity or a mixed financial holding company which is subject to supplementary supervision in accordance with Article 5(2) of Directive 2002/87/EC, the group supervisor may, after consulting the other supervisory authorities concerned, decide not to carry out at the level of that participating insurance or reinsurance undertaking or that insurance holding company or mixed financial holding company the supervision of risk concentration referred to in Article 244 of this Directive, the supervision of intra-group transactions referred to in Article 245 of this Directive, or both.
3. Dans les cas visés aux points a) et b) du paragraphe 2, lorsque l'entreprise d'assurance ou de réassurance participante, la société holding d'assurance ou la compagnie financière holding mixte ayant son siège social dans l'Union est soit une entreprise liée d'une entreprise assujettie à une surveillance complémentaire conformément à l'article 5, paragraphe 2, de la directive 2002/87/CE, soit elle-même une entité réglementée ou une compagnie financière holding mixte assujettie à la même surveillance, le contrôleur du groupe peut, après consultation des autres autorités de contrôle concernées, décider de ne pas effectuer au niveau de cette entreprise d'assurance ou de réassurance participante, de cette société holding d'assurance ou de cette compagnie financière holding mixte le contrôle de la concentration de risques visé à l'article 244 ou le contrôle des transactions intragroupe visé à l'article 245 ou les deux.
