1. The Commission may by Regulation and in accordance with Article 81(3) of the Treaty, declare that Article 81(1) of the Treaty shall not apply to certain categories of agreements between undertakings, decisions of associations of undertakings and concerted practices that have as an object to promote or establish cooperation in the joint operation of maritime transport services between liner shipping companies, for the purpose of rationalising their operations by means of technical, operational or commercial arrangements with the exception of price fixing (consortia).
1. La Commission peut, par voie de règlement et conformément à l'article 81, paragraphe 3, du traité, déclarer l'article 81, paragraphe 1, du traité inapplicable à certaines catégories d'accords entre entreprises, décisions d'associations d'entreprises et pratiques concertées, qui ont pour objet de promouvoir ou d'établir une coopération pour l'exploitation en commun de services de transports maritimes, entre compagnies maritimes de ligne, dans le but de rationaliser leurs opérations au moyen d'arrangements techniques, opérationnels ou commerciaux, à l'exception de la fixation des prix (consortia).

Regulation (EC) No 246/2009 empowers the Commission to apply Article 81(3) of the Treaty by regulation to certain categories of agreements, decisions and concerted practices between shipping companies relating to the joint operation of liner shipping services (consortia), which, through the cooperation they bring about between the shipping companies that are parties thereto, are liable to restrict competition within the common market and to affect trade between Member States and may therefore be caught by the prohibition contained in Article 81(1) of the Treaty.
Le règlement (CE) no 246/2009 habilite la Commission à appliquer l’article 81, paragraphe 3, du traité, par voie de règlement, à certaines catégories d’accords, de décisions ou de pratiques concertées entre compagnies maritimes concernant l’exploitation en commun de services de transport maritime de ligne (consortiums) susceptibles, par la coopération qu’ils engendrent entre les compagnies maritimes qui y sont parties, de restreindre la concurrence à l’intérieur du marché commun et d’affecter le commerce entre États membres et, partant, de relever de l’interdiction énoncée à l’article 81, paragraphe 1, du traité.

The guidance on both joint selling, as a variant of a joint commercialisation agreement, and joint production in the Commission Guidelines on the applicability of Article 81 of the Treaty to horizontal cooperation agreements (59) is therefore relevant.

However, since such agreements, decisions or concerted practices may benefit air transport users and/or air carriers, Commission Regulation (EEC) No 1617/93 of 25 June 1993 on the application of Article 85(3) of the Treaty to certain categories of agreements and concerted practices concerning joint planning and coordination of schedules, joint operations, consultations on passenger and cargo tariffs on scheduled air services and slot allocation at airports (3) declared that Article 81(1) of the Treaty did not apply, inter alia, to certain agreements, decisions or concerted practices concerning consultations on tariffs and slot allocation at airports for air services between Community airports.
Cependant, comme ces accords, décisions ou pratiques concertées peuvent profiter aux usagers et/ou aux transporteurs aériens, le règlement (CEE) no 1617/93 de la Commission du 25 juin 1993, concernant l'application de l'article 85, paragraphe 3, du traité à certaines catégories d'accords, de décisions ou de pratiques concertées ayant pour objet la planification conjointe et la coordination des horaires, l'exploitation de services en commun, les consultations tarifaires pour le transport de passagers et de fret sur les services aériens réguliers et la répartition des créneaux horaires dans les aéroports (3) a déclaré l'article 81, paragraphe 1, du traité inapplicable notamment à certains accords, décisions ou pratiques concertées ayant pour objet des consultations tarifaires, ainsi que la répartition des créneaux horaires et la coordination des horaires dans les aéroports sur les services aériens entre aéroports de la Communauté.

4. The detailed implementing rules enabling the Commission to ensure compliance with its obligations pursuant to Article 274 of the Treaty establishing the European Community shall be set out in an agreement between the Joint Undertaking and the Commission.
4. Les modalités détaillées de mise en oeuvre permettant à la Commission de s'assurer du respect de ses obligations au titre de l'article 274 du traité instituant la Communauté européenne sont précisées dans un accord entre l'entreprise commune et la Commission.

(5) Whereas it is appropriate to define the concept of concentration in such a manner as to cover operations bringing about a lasting change in the structure of the undertakings concerned; whereas in the specific case of joint ventures it is appropriate to include within the scope and procedure of Regulation (EEC) No 4064/89 all full-function joint ventures; whereas, in addition to the dominance test set out in Article 2 of that Regulation, it should be provided that the Commission apply the criteria of Article 85 (1) and (3) of the Treaty to such joint ventures, to the extent that their creation has as its direct consequence an appreciable restriction of competition between undertakings that remain independent; whereas, if the effects of such joint ventures on the market are primarily structural, Article 85 (1) does not as a general rule apply; whereas Article 85 (1) may apply if two or more parent companies remain active in the market of the joint venture, or, possibly, if the creation of the joint venture has as its object or effect the prevention, restriction or distortion of competition between the parent companies in upstream, downstream or neighbouring markets; whereas, in this context, the appraisal of all competition aspects of the creation of the joint venture must be made within the same procedure;
(5) considérant qu'il convient de définir la notion de concentration, de telle sorte qu'elle couvre les opérations entraînant un changement durable dans la structure des entreprises concernées; que, dans le cas spécifique des entreprises communes, il est indiqué d'inclure dans le champ d'application et la procédure du règlement (CEE) n° 4064/89 toutes les entreprises communes de plein exercice; que, en plus de l'appréciation sous l'angle de la position dominante prévue à l'article 2 dudit règlement, il faut prévoir que la Commission applique les critères de l'article 85 paragraphes 1 et 3 du traité à ces entreprises communes, dans la mesure où une restriction appréciable de la concurrence entre des entreprises qui demeurent indépendantes est la conséquence directe de leur création; que, si les effets de telles entreprises communes sur le marché sont avant tout structurels, l'article 85 paragraphe 1 ne s'applique pas en règle générale; que l'article 85 paragraphe 1 peut être d'application si deux des entreprises fondatrices ou plus restent actives dans le marché de l'entreprise commune ou, le cas échéant, si la création de l'entreprise commune a pour objet ou pour effet d'empêcher, de restreindre ou de fausser le jeu de la concurrence entre les entreprises fondatrices dans des marchés situés en amont ou en aval ou des marchés voisins; que, dans cette situation, l'appréciation de tous les aspects de la création de l'entreprise commune quant à la concurrence doit être effectuée dans le cadre de la même procédure;
