The initial notification referred to target profitability of just 7 %. The Commission doubted whether this could really be reached, especially given the problematic institutional and management structure of the group, the unclear market assumptions on which the restructuring measures were based, and the continuation of the problematic real estate business.

A European initiative is vital to strengthen or restore public confidence in European financial markets. The aim is to make existing rules on company law more flexible and, in particular, facilitate cross-border restructuring in Europe. Integration of the financial markets brings with it a need to reform corporate governance. A measure of this kind must promote convergence of these rules and prevent excessive legal competition between Member States of the Union.

As their response to the consultation launched by the Commission, the social partners have established preliminary orientations for managing the social consequences of restructuring, which include the effective involvement of workers in managing change and which constitute a useful basis for further work on this issue.
