WHEREAS all rights and obligations of Calgary Power and Transmission Company Limited under the agreement of October 14, 1909, were, with the approval of the Minister of the Interior, assigned and transferred on September 26, 1910, to the Calgary Power Company Limited, a company incorporated under the Companies Act of Canada, the head office of which was situated in Montreal, Quebec, (referred to hereinafter as the “Original Licensee”), the Original Licensee to be bound by and observe and perform all the requirements and conditions of the regulations governing the granting of water-power rights in the Provinces of Manitoba, Saskatchewan and Alberta and the Northwest Territories, as well as those established by Orders in Council dated June 2, 1909, June 8, 1909, and April 20, 1910, and any other regulations that were thereafter made;

Her Excellency the Governor General in Council, on the recommendation of the Minister of Transport pursuant to subsection 3(3) of the Northern Transportation Company Limited Disposal Authorization Act, is pleased hereby to make the annexed Order exempting property, rights or interests from the application of subsection 3(2) of the Northern Transportation Company Limited Disposal Authorization Act and transferring the control, management and administration thereof.

Her Excellency the Governor General in Council, on the recommendation of the Prime Minister, pursuant to paragraph 2(a)Footnote of the Public Service Rearrangement and Transfer of Duties Act, hereby transfers from the Office of Infrastructure of Canada to the Department of Transport the control and supervision of that portion of the federal public administration within the Office of Infrastructure of Canada known as the Crown Corporation Secretariat, relating to Canada Lands Company Limited and Queens Quay West Land Corporation, effective February 6, 2006.

Her Excellency the Governor General in Council, on the recommendation of the Prime Minister, pursuant to paragraph 2(a) of the Public Service Rearrangement and Transfer of Duties Act, hereby transfers from the Department of the Environment to the Office of Infrastructure of Canada the control and supervision of that portion of the public service in the Department of the Environment, known as the Crown Corporation Secretariat, relating to Canada Mortgage and Housing Corporation, Canada Lands Company Limited and Queens Quay West Land Corporation.

(c)‘partial division’ means an operation whereby a company transfers, without being dissolved, one or more branches of activity, to one or more existing or new companies, leaving at least one branch of activity in the transferring company, in exchange for the pro- rata issue to its shareholders of securities representing the capital of the companies receiving the assets and liabilities, and, if applicable, a cash payment not exceeding 10 % of the nominal value or, in the absence of a nominal value, of the accounting par value of those securities.
c)«scission partielle», l’opération par laquelle une société transfère, sans être dissoute, une ou plusieurs branches d’activité à une ou plusieurs sociétés préexistantes ou nouvelles, en laissant au moins une branche d’activité dans la société apporteuse, en échange de l’attribution à ses associés, au prorata, de titres représentatifs du capital social des sociétés qui bénéficient des éléments d’actif et de passif et, éventuellement, d’une soulte en espèces ne dépassant pas 10 % de la valeur nominale ou, à défaut de valeur nominale, du pair comptable de ces titres.

5. Paragraphs 2 and 3 shall apply only if the shareholder does not attribute to the sum of the securities received and those held in the transferring company, a value for tax purposes higher than the value the securities held in the transferring company had immediately before the partial division.
