(5) Where the board of the Canadian carrier determines that the shares are excess voting shares and that a sale or other disposition of excess voting shares is required in order to reduce the total number of voting shares of the carrier that are excess voting shares to zero, in the case of a carrier referred to in subsection 16(1) of the Act, or to zero or to any percentage such that the percentage of the voting shares that is beneficially owned, and controlled, by non-Canadians is within five per cent of the percentage of the voting shares of the corporation that were beneficially owned, and controlled, by non-Canadians as at July 22, 1987, in the case of a carrier referred to in subsection 16(2) of the Act, the Canadian carrier shall send a notification to the registered holder of the excess voting shares,

10 (1) Where the board of a Canadian carrier has information concerning the beneficial ownership and control of the Canadian carrier that causes the board to believe that some of the Canadian carrier’s voting shares are excess voting shares and the Canadian carrier intends to take further action pursuant to these Regulations, the Canadian carrier shall immediately send a notice to the registered holders of those voting shares that are chosen in the order referred to in subsection 9(2).

11 (1) Where, in accordance with these Regulations, the board of a Canadian carrier determines that some of the Canadian carrier’s voting shares are excess voting shares, the Canadian carrier may sell, as if it were the owner thereof, any of those excess voting shares, if the registered holder has been requested to sell the shares and has not done so and the sale is conducted in accordance with these Regulations.

Some countries failed to collect adequate data to prevent cases of double voting (bringing a vote in European elections in both the country of origin and residence, which is illegal under EU law).

It was for similar reasons that we, at that time, exempted French shares with double voting rights from the breakthrough rule, one reason for this being that these were not voting shares of a particular class, that might be said to be guaranteed in the long term, but rather intended to reward long-term investment, with these voting rights being converted, after a certain period of time, into normal voting rights; the second being that, with the breakthrough rule, the reaching of 75% – which is, as a rule, the quorum at which the breakthrough can kick in – no longer raises the issue as to whether the shares are double-vote or ordinary.

Member States shall cooperate among themselves to carry out post-election checks on the possible occurrence of double voting and double candidacies; these checks and inspections may concentrate on situations where there is a greater probability of double voting or double candidacies.

What is important in this is that consideration be given to the advantages and disadvantages of all systems deviating from the ‘one share, one vote’ norm, whether pyramid structures in Italy, preferential shares in Germany, double voting in France or the ‘A’ and ‘B’ shares found in the Nordic countries.

As regards content, the proposal makes it easier for the citizens concerned to exercice their right to vote and to stand as a candidate and is based on the following ideas: * a minimal regulation avoiding any harmonisation of the national systems, * the principle of non-discrimination between nationals and non- nationals, * the principle of free choice as to the Member State in which they exercise their right to vote or to stand as a candidate, * the exclusion of double voting and double standing, and * the "mutual recognition" of disqualification rules.
