Without prejudice to Article 4(6) and (7), Member States which before the entry into force of this Directive have already taken measures to ensure a more balanced representation of women and men among the non-executive directors of listed companies may suspend the application of the procedural requirements relating to appointments contained in Article 4(1), (3), (4) and (5), provided that it can be shown that those measures enable members of the under-represented sex to hold at least 40 per cent of the non-executive director positions of listed companies by at the latest 1 January 2020, or at the latest 1 January 2018 for listed companies which are public undertakings.
3. Sans préjudice de l’article 4, paragraphes 6 et 7, les États membres qui, avant l’entrée en vigueur de la présente directive, ont déjà adopté des mesures afin d’assurer une représentation plus équilibrée des femmes et des hommes parmi les administrateurs non exécutifs des sociétés cotées, peuvent suspendre l’application des exigences procédurales en matière de nomination énoncées à l’article 4, paragraphes 1, 3, 4, et 5, pour autant qu’il puisse être démontré que ces mesures permettront aux membres du sexe sous-représenté d’occuper 40 % au moins des postes d’administrateurs non exécutifs au plus tard d’ici le 1er janvier 2020 dans les sociétés cotées ou d’ici le 1er janvier 2018 s’il s’agit de sociétés cotées constituées en entreprises publiques.

Such Member States should have an opportunity to apply those measures in place of the procedural requirements relating to appointments where they can demonstrate that the measures taken are of equivalent efficacy in order to attain the objective of a presence of the under-represented sex of at least 40 per cent among non-executive directors of listed companies at the latest by 1 January 2020 or at the latest by 1 January 2018 in case of listed companies which are public undertakings.
Ces États membres devraient avoir la faculté d’appliquer lesdites mesures en lieu et place des exigences procédurales en matière de nomination s’ils peuvent démontrer que les mesures arrêtées sont d’une efficacité équivalente pour que les sociétés cotées et les sociétés cotées constituées en entreprises publiques atteignent, respectivement, d’ici le 1er janvier 2020 ou le 1er janvier 2018 au plus tard, l’objectif consistant à ce que 40 % au moins de leurs administrateurs non exécutifs appartiennent au sexe sous‑représenté.

The Commission shall then issue a specific report ascertaining whether those measures effectively enable members of the under-represented sex to hold at least 40 per cent of the non-executive director positions by 1 January 2018 for listed companies which are public undertakings, and by 1 January 2020 for listed companies which are not public undertakings.
La Commission publie ensuite un rapport spécial dans lequel elle établit si ces mesures permettent effectivement aux membres du sexe sous-représenté d’occuper 40 % au moins des postes d’administrateurs non exécutifs d’ici le 1er janvier 2018 dans les sociétés cotées constituées en entreprises publiques et d’ici le 1er janvier 2020 dans les sociétés cotées autres que des entreprises publiques.

Les États membres veillent à ce que les sociétés cotées dans lesquelles les membres des conseils appartenant au sexe sous‑représenté occupent moins de 40 % des postes d’administrateurs non exécutifs pourvoient ces postes sur la base d’une analyse comparative des qualifications de chaque candidat à l’aune de critères préétablis, clairs, univoques et formulés en termes neutres, afin qu’elles atteignent ledit pourcentage le 1er janvier 2020 au plus tard, ou le 1er janvier 2018 au plus tard s’il s’agit de sociétés cotées constituées en entreprises publiques.
