Article 66 of the ECSC Treaty The Commission has authorized a reorganization of the long products business of Arbed SA and Usinor Sacilor SA. The two companies have agreed that a number of products hitherto produced and marketed by both will now become specialities of one or other of them only.

Les deux sociétés ont en effet décidé de se spécialiser mutuellement dans la production et la commercialisation de produits dont elles assumaient jusqu'ici toutes deux la production et la commercialisation.

The other conditions imposed by the Commission are as follows: - no amendment may be made to the plan without the Commission's prior agreement; - Crédit Lyonnais will be permitted to repurchase hived-off industrial and commercial assets (compare the Usinor-Sacilor case) only at the price at which the assets were transferred to Consortium de Réalisations (CDR - see background below) or at the market price if that is higher than the price at which the assets were transferred to CDR; an overall limit of FF 5 billion has been set on such repurchases; - a clearer separation will have to be made between CDR and Crédit Lyonnais as regards their managers, their administration and the system of controlling and supervising the management of the hiving-off mechanism; steps must also be taken to ensure that the committees responsible for managing the hived-off companies remain independent of Crédit Lyonnais and that the bank has no share in the proceeds of CDR's sales; - Crédit Lyonnais will have to use the proceeds of sales to restructure non-performing assets and activities, thereby preventing it from reinvesting those proceeds in the repurchase of industrial or financial holdings; - Société de Participation Banque/Industries (SPBI - see background below) will receive not only the proceeds of the privatization of Crédit Lyonnais but also a substantial share of the bank's profits (in accordance with the "better fortunes" clause).
Quant aux autres conditions imposées par la Commission, elles stipulent notamment que : - aucune modification du plan ne sera possible sans accord préalable de la Commission; - le Crédit Lyonnais ne pourra racheter des actifs industriels et commerciaux cantonnés (cas Usinor-Sacilor) qu'au prix auquel l'actif a été transféré au Consortium de Réalisations (CDR - voir background ci- dessous), ou au prix de marché si celui-ci est supérieur au prix du transfert de l'actif au CDR, et en tout cas dans la limite globale de FFr 5 milliards; - une séparation plus nette sera réalisée entre le CDR et le Crédit Lyonnais, en ce qui concerne leurs dirigeants, la gestion, ainsi que le système de contrôle et de surveillance de la gestion du canton; en outre, il est prévu que l'indépendance des comités de direction des sociétés cantonnés à l'égard du Crédit Lyonnais soit assurée et que le Crédit Lyonnais ne pourra avoir aucun intéressement aux produits des réalisations du CDR; - le Crédit Lyonnais devra affecter le produit des cessions à la restructuration des actifs et des activités non performantes, pour éviter qu'il puisse réinvestir ce produit dans le rachat des participations industrielles ou financières; - la Société de Participation Banque/Industries (SPBI - voir background ci- dessous) devra non seulement recevoir les produits de la privatisation du Crédit Lyonnais, mais aussi une partie substantielle des bénéfices réalisés par la banque (selon la clause dite de "retour à meilleure fortune" ).

Mannesmann Roehrenwerke specialises in the manufacture of different sizes of tube whilst Usinor Sacilor is more of an integrated producer of steel and steel products; it is active in the market of large welded tubes through its subsidiaries GTS INDUSTRIE and BERGROHR, which manufacture only this product.
Mannesmann Roehrenwerke est spécialisée dans la fabrication de tubes de différentes tailles tandis qu'Usinor Sacilor est plutôt un producteur intégré d'acier et de produits sidérurgiques; la société est active dans le domaine des tubes par ses filiales GTS INDUSTRIE et BERGROHR qui produisent uniquement de gros tubes soudés.
