However, certain additional provisions were considered appropriate to reinforce supervisors' ability to monitor the entities coming within their supervisory remit, i.e.: (1) the addition to the list of authorization conditions of a further condition under which any group of which the credit institution, insurance undertaking or investment firm is a member must be transparent i.e. must be such as to permit effective supervision of the entity on an individual basis; (2) an additional requirement whereby credit institutions and insurance undertakings must maintain their head offices in the same Member States as the registered office as otherwise effective supervision by the home Member State competent authorities would be made more difficult (this has already been laid down for investment firms); (3) a widening of the list of bodies with whom confidential supervisory information can be exchanged by the competent authorities; (4) the imposition on auditors of an obligation to report to the competent authority where in the carrying out of their function asstatutory auditors of the financial undertaking concerned irregular circumstances become known to them which might be detrimental either to the customers of the institution, to the financial system or to the soundness of the financial undertaking itself.

Met name werd het gewenst geacht : 1) aan de lijst van vergunningsvoorwaarden een aanvullende voorwaarde toe te voegen waarin bepaald zal worden dat wanneer een kredietinstelling, een verzekeringsonderneming of een beleggingsonderneming tot één zelfde groep behoort, de structuur daarvan voldoende doorzichtig moet zijn om een passend toezicht op de eenheid op individuele basis mogelijk te maken; 2) te bepalen dat kredietinstellingen en verzekeringsondernemingen hun hoofdkantoor in dezelfde Lid-Staat moeten hebben als hun statutaire zetel omdat het voor de bevoegde autoriteiten van de Lid-Staat van oorsprong anders moeilijk is een passend toezicht uit te oefenen (deze voorwaarde is reeds gesteld voor beleggingsondernemingen); 3) de lijst van organismen waarmee de bevoegde autoriteiten vertrouwelijke inlichtingen betreffende het toezicht kunnen uitoefenen, uit te breiden; 4) externe accountants de verplichting op te leggen de bevoegde autoriteiten in kennis te stellen van feiten die zij bij de uitoefening van hun taak vaststellen en die schadelijke gevolgen kunnen hebben voor de cliëntèle van de financiële onderneming, het financiële stelsel of de soliditeit van de onderneming zelf.

They are added to the proposals already presented to the Council, namely the introduction of deposit-guarantee schemes for all credit institutions, the harmonization of national laws relating to the reorganization and the winding-up of credit institutions and a recommendation for a Council Decision authorizing the Commission to negotiate with third countries bilateral agreements on the supervision of credit institutions on a consolidated basis.
