All face the same legal problems: establishing the origin of a cultural good, assessing how to account for the legal gap in ownership between 1933 and 1945, defining the applicable jurisdiction, deciding who may be a ‘good faith’ purchaser and what that purchaser’s rights may be, determining if any limitations period should apply etc. Moreover, differences between civil and common law in the Member States lead to different results and cause endless litigation and a legal morass for victims and heirs to looted cultural goods.

In concrete terms, the Commission requests the Member States to: a) encourage initiatives aimed at heightening owners' awareness of this problem and at informing and training them in preparation for a transfer; b) create the right financial environment for successful transfers; c) make it possible for the owner to adopt the legal form (notably that of a limited company) most likely to ensure the success of the transfer by eliminating the legal and fiscal obstacles that hamper preparatory operations; d) safeguard the principle of continuity of partnerships in the case of the death of one of the partners; e) stipulate that a partnership agreement takes precedence over the unilateral acts of a partner; f) ensure that family law, inheritance law and the payment of financial compensation cannot jeopardize the survival of the business; g) reduce taxation on assets in the event of transfer by succession or by gift, provided that the heirs continue to operate the business; h) allow payment in instalments or deferred payment of gift and inheritance tax; i) ensure that the assessment of the value of the business takes into account changes in its value after the death of the owner; j) provide tax incentives for transfer by sale during the lifetime of the owner; k) provide tax incentives for the takeover of the business by employees.
Concreet verzoekt de Commissie de Lid-Staten: a) de initiatieven aan te moedigen die gericht zijn op de bewustmaking, voorlichting en opleiding van de bedrijfsleiders en bijgevolg op de voorbereiding van de overdracht; b) een voor het slagen van de overdracht gunstig financieel klimaat te creëren; c) de ondernemer de mogelijkheid te bieden de voor het slagen van de overdracht meest geschikte rechtsvorm en met name het statuut van de naamloze vennootschap te kiezen door alle juridische en fiscale obstakels die de voorbereiding hinderen, uit de weg te ruimen; d) het principe van de continuïteit van personenvennootschappen bij overlijden van een van de vennoten in te voeren; e) het vennootschapsrecht boven de eenzijdige akten van een van de vennoten te doen prevaleren; f) erop toe te zien dat het familierecht, het erfopvolgingsrecht en de betaling van financiële compensaties het voortbestaan van de onderneming niet in gevaar kunnen brengen; g) de belastingheffing op de activa bij overdracht door erfopvolging of schenking te verlichten, op voorwaarde dat de erfgenamen de bedrijfsactiviteit voortzetten; h) de mogelijkheid te bieden van spreiding of uitstel van betaling van successie- en schenkingsrechten; i) ervoor te zorgen dat bij de fiscale evaluatie van de onderneming rekening kan worden gehouden met de ontwikkeling van de waarde van de onderneming na het overlijden van de ondernemer; j) de overdracht door verkoop tijdens het leven van de ondernemer fiscaal aan te moedigen; k) de overname van de onderneming door de werknemers fiscaal aan te moedigen.

In order to attain this objective, the Member States should take measures to: - heighten the business owner's awareness of the problems inherent in transfers and encourage him to prepare for this operation within his lifetime; - create a financial environment conducive to the successful transfer of SMEs; - enable the businessman to prepare for the transfer in an efficient way; - ensure the continuity of partnerships and sole proprietorships; - provide for the success of family transfers by ensuring that the levying of inheritance tax or gift tax does not jeopardize the survival of the business; - encourage transfer to a third party when there is no heir within the family.
Om dit doel te bereiken, dienen de Lid-Staten maatregelen te nemen die erop gericht zijn: - de bedrijfsleider bewust te maken van de problemen die met de overdracht gepaard gaan en hem ertoe aan te zetten deze handeling tijdens zijn leven voor te bereiden; - het MKB een voor het slagen van de overdracht gunstig financieel klimaat te bieden; - de ondernemer de kans te geven zijn overdracht efficiënt voor te bereiden; - de continuïteit van personenvennootschappen en eenmanszaken te garanderen; - het slagen van de overdracht van een familiebedrijf te garanderen door erop toe te zien dat de belasting op de erfopvolging of schenking het voortbestaan van de onderneming niet in gevaar brengt; - de overdracht aan derden aan te moedigen, vooral wanneer er binnen de familie geen opvolger is.
