4. In accordance with Article 16 of Regulation (EU) No 1095/2010 , ESMA shall issue guidelines addressed to competent authorities which comply with Article 14b. Those guidelines shall take into account the principles on sound remuneration policies set out in Recommendation 2009/384/EC, the size of the management company and the size of UCITS they manage, their internal organisation and the nature, the scope and the complexity of their activities.

In order to improve the efficiency of pre-emptive issues of equity securities and adequately to take account of the size of issuers, without prejudice to investor protection, a proportionate disclosure regime should be introduced for offers of shares to existing shareholders who can either subscribe those shares or sell the right to subscribe for the shares, for offers by SMEs and issuers with reduced market capitalisation (namely small companies whose shares are admitted to trading on a regulated market), and for offers of non-equity securities referred to in Article 1(2)(j) of Directive 2003/71/EC issued by credit institutions. Where such credit institutions issue securities below the limit laid down in that Article, but choose to opt into the regime of this Directive and, consequently, draw up a prospectus, they should be entitled to benefit from the relevant proportionate disclosure regime.

The Commission has repeatedly referred to these issues and presented recommendations on tax problems concerning the transfer of small and medium-sized enterprises[5] and a Communication on the general improvement of the tax environment of small and medium-sized enterprises[6].
De Commissie heeft zich meermaals over deze knelpunten gebogen en aanbevelingen gedaan voor fiscale problemen bij de overdracht van MKB-bedrijven[5] alsook een mededeling gepresenteerd over de algehele verbetering van het fiscale klimaat voor het MKB[6].

It is noteworthy that, in its 1994 Communication to the Council and the Parliament on the improvement of the tax environment of small and medium-sized enterprises [COM(94)206 dated 25/05/1994, OJ C 187 dated 09/07/1994] the Commission had already issued an orientation stating that "the foreign activities of small and medium-sized enterprises could, under certain conditions, be taxed only in the Member state of residence of the enterprise. This would imply a major administrative simplification".
Vermeldenswaard is dat de Commissie in haar mededeling van 1994 aan de Raad en het Europees Parlement over de verbetering van het fiscale klimaat voor het midden- en kleinbedrijf (COM(1994) 206 van 25.5.1994, PB L 187 van 9.7.1994) al had aangegeven dat de buitenlandse activiteiten van MKB-bedrijven onder bepaalde voorwaarden uitsluitend in de lidstaat van vestiging van de onderneming zouden kunnen worden belast, wat een vergaande administratieve vereenvoudiging zou betekenen.

In the light of the Commission's considerable experience in applying those Articles to small and medium-sized enterprises and in the light of the general texts relating to small and medium-sized enterprises and to regional aid issued by the Commission on the basis of those provisions, it is appropriate, with a view to ensuring efficient supervision and simplifying administration without weakening Commission monitoring, that the Commission should make use of the powers conferred by Regulation (EC) No 994/98.
Gezien de grote ervaring van de Commissie met de toepassing van die artikelen op kleine en middelgrote ondernemingen en gezien de algemene teksten betreffende kleine en middelgrote ondernemingen en betreffende regionale steun die de Commissie op grond van deze bepalingen heeft vastgesteld, is het passend dat de Commissie van de haar bij Verordening (EG) nr. 994/98 toegekende bevoegdheden gebruikmaakt om voor een doeltreffend toezicht te zorgen en de administratie te vereenvoudigen zonder dat de controle door de Commissie daardoor wordt verzwakt.
