IN-CONTEXT TRANSLATIONS

The objectives of the SE Regulation, according to its recitals, were to, inter alia, remove obstacles to the creation of groups of companies from different Member States, (.) allow companies with a European dimension to combine, plan and carry out the reorganisation of their business on a Community scale and to transfer their registered office to another Member State while ensuring adequate protection of the interests of minority shareholders and third parties, (.) to ensure as far as possible that the economic unit and the legal unit of business in the Community coincide, (.) permit the creation and management of companies with a European dimension, free from the obstacles arising from the disparity and the limited territorial application of national company law (.) and (.) to allow companies with a European dimension to adapt their organisational structure, and to choose a suitable system of corporate governance ensuring efficient management, proper supervision and the maintaining of the rights of employees to involvement[2].

4. To the extent permitted by the Protocol, the Commission may, in agreement with both the competent authority of the Member State in which a producer’s relevant production is situated and the government of the third country Party concerned, authorise a producer to combine the calculated levels of production laid down in Article 10 and Article 11(2) with the calculated levels of production allowed to a producer in a third country Party under the Protocol and that producer’s national legislation for the purpose of industrial rationalisation with a third country Party, provided that the combined calculated levels of production by the two producers do not exceed the sum of the calculated levels of production allowed to the Community producer under Article 10 and Article 11(2) and the calculated levels of production allowed to the third country Party producer under the Protocol and any relevant national legislation.
4. 16. Calls on the Council to ensure that, despite the organisational splitting of the Council Working Party on Schengen Evaluation (SCH-EVAL) from the newly created SCIFA+ body, in which the Strategic Committee for Immigration and Asylum works together with the Heads of national Border Control Services, the findings of the two Council working parties are combined;

Different elements could be combined: the nature of the act to be adopted (regulation, directive or recommendation), the relationship with national law (which could be replaced or co-exist), the question of mandatory rules within the set of applicable provisions and whether the contracting parties would choose to apply the EC instrument or whether the European rules apply automatically as a safety net of fallback provisions if the contracting parties have not agreed a specific solution.

(18) In addition to ensuring that the insurance undertaking has a representative in the State where the injured party resides, it is appropriate to guarantee the specific right of the injured party to have the claim settled promptly; it is therefore necessary to include in national law appropriate effective and systematic financial or equivalent administrative penalties - such as injunctions combined with administrative fines, reporting to supervisory authorities on a regular basis, on-the-spot checks, publications in the national official journal and in the press, suspension of the activities of the company (prohibition on the conclusion of new contracts for a certain period), designation of a special representative of the supervisory authorities responsible for monitoring that the business is run in line with insurance laws, withdrawal of the authorisation for this business line, sanctions to be imposed on directors and management staff - in the event that the insurance undertaking or its representative fails to fulfil its obligation to make an offer of compensation within a reasonable time-limit; this should not prejudice the application of any other measure - especially under supervisory law - which may be considered appropriate; however, it is a condition that liability and the damage and injury sustained should not be in dispute, so that the insurance undertaking is able to make a reasoned offer within the prescribed time-limit; the reasoned offer of compensation should be in writing and contain the grounds on the basis of which liability and damages have been assessed.
(18) Het is passend om, in aanvulling op de aanwezigheid in het land van woonplaats van de benadeelde van een vertegenwoordiger van de verzekeringsonderneming, ook het specifieke recht van de benadeelde op een snelle afwikkeling van de vordering te garanderen. Bijgevolg moeten de nationale wetgevingen voorzien in passende, afdoende en systematische financiële of daaraan gelijkwaardige administratieve sancties - zoals met administratieve geldboeten gecombineerde dwangbevelen, regelmatige rapportage aan toezichthoudende autoriteiten, controles ter plaatse, bekendmakingen in het nationale publicatieblad en in de pers, schorsing van de werkzaamheden van de verzekeringsonderneming (verbod om gedurende een bepaalde periode nieuwe contracten af te sluiten), aanwijzing van een speciale vertegenwoordiger van de toezichthoudende autoriteiten die moet nagaan of het bedrijf conform de verzekeringswetgeving wordt uitgeoefend, intrekking van de vergunning voor deze branche, sancties tegen bestuurders en kaderpersoneel en tegen de verzekeringsonderneming - voor het geval de verzekeringsonderneming, of haar schaderegelaar, de verplichting om binnen een redelijke termijn een voorstel tot schadevergoeding voor te leggen, niet nakomt. Dit dient de toepassing van andere nodig geachte maatregelen - met name maatregelen krachtens de toezichtswetgeving - onverlet te laten.

10. To the extent permitted by the Protocol, the Commission may, in agreement with both the competent authority of the Member State in which a producer's relevant production is situated and the government of the third Party concerned, authorise a producer to combine the calculated levels of production laid down in paragraphs 1 to 9 with the calculated levels of production allowed to a producer in a third Party under the Protocol and that producer's national legislation for the purpose of industrial rationalisation with a third Party, provided that the combined calculated levels of production by the two producers do not exceed the sum of the calculated levels of production allowed to the Community producer under paragraphs 1 to 9 and the calculated levels of production allowed to the third Party producer under the Protocol and any relevant national legislation.
10. Voorzover het protocol dit toelaat, kan de Commissie een producent, met instemming van zowel de bevoegde instantie van de lidstaat waar de betrokken productie van een producent plaatsvindt als de regering van de betrokken derde partij, toestemming geven om de in de leden 1 tot en met 9 vastgestelde berekende niveaus van zijn productie met het oog op een met een derde partij uit te voeren industriële rationalisering te combineren met de berekende productieniveaus die voor een producent in een derde partij zijn toegestaan krachtens het protocol en de nationale wetgeving, mits de som van de berekende productieniveaus van de twee producenten niet hoger is dan de som van de krachtens de leden 1 tot en met 9 voor de producent in de Gemeenschap toegestane berekende niveaus van zijn productie en de voor de producent in de derde partij krachtens het protocol en de nationale wetgeving toegestane berekende niveaus van zijn productie.
