Considers it regrettable that a holistic approach to the way in which corporations abide by human rights standards globally is still lacking, and that this is allowing certain states and companies to circumvent such rules; stresses the need, therefore, to adopt rules on corporate social responsibility (CSR); strongly supports the implementation of the UN Guiding Principles on Business and Human Rights; calls, in particular, on the Commission to introduce effective measures to operationalise the ‘Protect, Respect and Remedy’ framework put forward by John Ruggie, the UN Secretary-General’s Special Representative on business and human rights; recalls the importance of promoting CSR principles, including in business operations outside the EU, and ensuring that they are respected throughout the supply chain, in particular with regard to the illegal timber trade, wildlife trafficking and trading of minerals from conflict zones; is convinced that European companies and their subsidiaries and subcontractors should play a key role in the promotion and dissemination of international standards on business and human rights worldwide;

(c) Mutual learning, cooperation, awareness raising and dissemination activities, such as identification of, and exchanges on, good practices, innovative approaches and experiences, organisation of peer review and mutual learning; organisation of conferences and seminars; organisation of awareness-raising and information campaigns, media campaigns and events, including corporate communication of the political priorities of the European Union; compilation and publication of materials to disseminate information as well as results of the Programme; development, operation and maintenance of systems and tools using information and communication technologies. These mutual learning, cooperation, awareness-raising and dissemination activities shall also seek to promote equality between women and men and facilitate access for women to senior posts;
(c) activiteiten inzake wederzijds leren, samenwerking, bewustmaking en verspreiding, zoals vaststelling en uitwisseling van beproefde methoden, innovatieve benaderingen en ervaringen, organisatie van intercollegiale toetsing en wederzijds leren; organisatie van conferenties en seminars; organisatie van bewustmakings- en informatiecampagnes, mediacampagnes en -evenementen, waaronder institutionele communicatie over de politieke prioriteiten van de Europese Unie; samenstelling en publicatie van materiaal voor de verspreiding van informatie en de resultaten van het programma; ontwikkeling, werking en onderhoud van ICT-systemen en -instrumenten; deze activiteiten inzake wederzijds leren, samenwerking, bewustmaking en verspreiding zijn eveneens bedoeld om de gelijkheid van vrouwen en mannen te bevorderen en de toegang van vrouwen tot hoge posten te vergemakkelijken;

3. The national agencies referred to in Article 28 shall develop a consistent policy with regard to the effective dissemination and exploitation of results of activities supported under the actions they manage within the Programme, shall assist the Commission in the general task of disseminating information concerning the Programme, including information in respect of actions and activities managed at national and Union level, and its results, and shall inform relevant target groups about the actions undertaken in their country.
3. Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. These rules are also designed to strengthen the role and rights of shareholders, in particular through better information and financial transparency. However, the recent financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.
5. wijst erop dat de regelgeving inzake corporate governance in het algemeen bedoeld is om een dualistische machtsstructuur binnen het besluitvormingsorgaan te handhaven door onderscheid te maken tussen beheers- en controlefuncties ter beperking van belangenconflicten; benadrukt dat niet-uitvoerende structuren niet mogen worden beperkt tot een controlerol en dat ook hun adviserende, bemiddelende en netwerkende functie moet worden erkend, met name hun rol om aansluiting te zoeken bij vragen vanuit de samenleving en het algemene belang; wijst erop dat deze regelgeving eveneens is bedoeld om de rol en de rechten van de aandeelhouders te versterken, met name via betere informatieverstrekking en financiële transparantie; is, gezien de recente financiële schandalen en de aan het systeem eigen omvang ervan, van oordeel dat een ruimere aanpak van corporate-governanceaangelegenheden gerechtvaardigd is; verzoekt de Commissie dan ook, naast de belangen van de institutionele dan wel individuele aandeelhouders, die in de mededeling uitgebreid aan de orde komen, uitdrukkelijk rekening te houden met de belangen van alle andere belanghebbenden (werknemers, schuldeisers, cliënten, leveranciers) in de verschillende voorstellen die zij in het kader van haar actieplan gaat doen, met name uit hoofde van het beginsel van de verantwoordelijkheid van de ondernemingen op sociaal en milieugebied; is van oordeel dat de Europese corporate governance degelijke structuren en praktijken voor voorlichting van en overleg met de werknemers moet bevatten, en dat alle Europese richtlijnen op het gebied van vennootschapsrecht verplichtingen moeten bevatten voor voorlichting van en overleg met vertegenwoordigers van de werknemers wanneer er sprake is van belangrijke beslissingen voor de continuïteit van bedrijven en banen;
