Definition: States of subjective distress and emotional disturbance, usually interfering with social functioning and performance, arising in the period of adaptation to a significant life change or a stressful life event. Omschrijving: Toestanden van subjectieve spanning en emotionele ontregeling die doorgaans het sociaal functioneren en optreden belemmeren en ontstaan in de periode van aanpassing aan een belangrijke levensverandering of stressveroorzakende levensgebeurtenis. Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. These rules are also designed to strengthen the role and rights of shareholders, in particular through better information and financial transparency. However, the recent financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.

In relation to the issue of solidarity and social exclusion, Member States have adopted national action plans in the context of the Lisbon Agenda, outlining the actions to be taken to combat social exclusion. The second such plan was developed in all Member States last year, following a consultation process with social cohesion interest groups.
Met betrekking tot het vraagstuk van solidariteit en sociale uitsluiting hebben de lidstaten nationale actieplannen vastgesteld in de context van de agenda van Lissabon, waarin de maatregelen worden omschreven die nodig zijn om sociale uitsluiting te bestrijden. Highlights the importance of the eight core challenges identified in the joint report on the National Action Plans and calls for a more thorough process of information, consultation and participation in drawing up, following up and evaluating these plans at national, regional and local level with the involvement of not only national but also regional and local institutions, as well as the NGOs, the social and economic operators and partners and bodies representing persons who are excluded or at risk from exclusion; points out in particular that the national and regional parliaments of the Member States must also play a role in drawing up, overseeing, and assessing the National Action Plans for social inclusion;

In the present case, the Commission observes that, according to the supporting documents in the file, a negotiated social plan, based on the 2002 social plan and implemented in the spring of 2005, was suspended on 25 April 2005 by SNCM’s shareholder without consultation with the undertaking’s management.
