By their appeal, Akzo Nobel Chemicals Ltd (‘Akzo’) and Akcros Chemicals Ltd (‘Akcros’) seek to have set aside the judgment of the Court of First Instance of the European Communities (now ‘the General Court’) of 17 September 2007 in Joined Cases T-125/03 and T-253/03 Akzo Nobel Chemicals and Akcros Chemicals v Commission (‘the judgment under appeal’), in so far as it rejected the claim of legal professional privilege for correspondence with Akzo’s in-house lawyer.
Par leur pourvoi, Akzo Nobel Chemicals Ltd (ci-après «Akzo») et Akcros Chemicals Ltd (ci-après «Akcros») demandent l’annulation de l’arrêt du Tribunal de première instance des Communautés européennes du 17 septembre 2007, Akzo Nobel Chemicals et Akcros Chemicals/Commission (T‑125/03 et T-253/03, ci-après l’«arrêt attaqué»), dans la mesure où le Tribunal a rejeté la demande de protection de la confidentialité de la correspondance avec le conseil juridique interne d’Akzo.

– annul the rejection decision of 8 May 2003, in so far as it refused to return the e-mail correspondence with Akzo’s in-house lawyer (part of Set B documents); and

Furthermore, the Court, responding to the argument put forward by Akzo Nobel and Ackros that national laws have evolved in the field of competition law, considers that no predominant trend towards protection under legal professional privilege of correspondence within a company or group with in-house lawyers may be discerned in the legal systems of the Member States.
Par ailleurs, la Cour, répondant à l'argument d'Akzo Nobel et d'Akcros selon lequel les droits nationaux auraient évolué en la matière, estime qu’aucune tendance prépondérante en faveur d’une protection de la confidentialité des communications au sein d’une entreprise ou d’un groupe avec des avocats internes ne peut être dégagée en ce qui concerne les ordres juridiques des Etats membres.

Moreover, the Court considers that that interpretation does not violate the principle of equal treatment in so far as the in-house lawyer is in fundamentally different position from external lawyers.

In those circumstances, the Court holds, as a result of the in-house lawyer’s economic dependence and the close ties with his employer, that he does not enjoy a level of professional independence comparable to that of an external lawyer.

Notwithstanding the professional ethical obligations applicable in the present case, an in-house lawyer cannot, whatever guarantees he has in the exercise of his profession, be treated in the same way as an external lawyer, because he occupies the position of an employee which, by its very nature, does not allow him to ignore the commercial strategies pursued by his employer, and thereby affects his ability to exercise professional independence.
Nonobstant le régime professionnel applicable, l’avocat interne ne saurait, quelles qu'en soient les garanties dont il dispose dans l’exercice de sa profession, être assimilé à un avocat externe du fait de la situation de salariat dans laquelle il se trouve, situation qui par sa nature même, ne lui permet pas de s’écarter des stratégies commerciales poursuivies par son employeur et met ainsi en cause sa capacité à agir dans une indépendance professionnelle.

It follows that the requirement of independence means the absence of any employment relationship between the lawyer and his client, so that legal professional privilege does not cover exchanges within a company or group with in-house lawyers.
Il en découle que l’exigence d’indépendance implique l’absence de tout rapport d’emploi entre l’avocat et son client, si bien que la protection au titre du principe de la confidentialité ne s’étend pas aux échanges au sein d’une entreprise ou d’un groupe avec des avocats internes.
