5. Notwithstanding paragraph 2, where a Community-scale group of undertakings within the meaning of Article 2(1)(c) comprises one or more undertakings or groups of undertakings which are Community-scale undertakings or Community-scale groups of undertakings within the meaning of Article 2(1)(a) or (c), a European Works Council shall be established at the level of the group unless the agreements referred to in Article 6 provide otherwise.
5. 4. The management of every undertaking belonging to the Community-scale group of undertakings and the central management or the deemed central management within the meaning of the second subparagraph of paragraph 2 of the Community-scale undertaking or group of undertakings shall be responsible for obtaining and transmitting to the parties concerned by the application of this Directive the information required for commencing the negotiations referred to in Article 5, and in particular the information concerning the structure of the undertaking or the group and its workforce.
4. The responsibility of undertakings or groups of undertakings in the transmission of the information required to commence negotiations must be specified in a way that enables employees to determine whether the undertaking or group of undertakings where they work is a Community-scale undertaking or group of undertakings and to make the necessary contacts to draw up a request to commence negotiations.

4. Matters shall be considered to be transnational where they concern the Community-scale undertaking or Community-scale group of undertakings as a whole, or at least two undertakings or establishments of the undertaking or group situated in two different Member States.

Employees’ rights other than rights of participation should remain subject to the national provisions referred to in Council Directive 98/59/EC of 20 July 1998 on collective redundancies , Council Directive 2001/23/EC of 12 March 2001 on the safeguarding of employees’ rights in the event of transfers of undertakings, businesses or parts of undertakings or businesses , Directive 2002/14/EC of the European Parliament and of the Council of 11 March 2002 establishing a general framework for informing and consulting employees in the European Community and Council Directive 94/45/EC of 22 September 1994 on the establishment of a European Works Council or a procedure in Community-scale undertakings and Community-scale groups of undertakings for the purposes of informing and consulting employees .

The common position states that the subsidiary requirements must satisfy the provisions set out in the Annex; these stipulate, inter alia, that: - the competence of the European Works Council will be limited to information and consultation on matters which concern the Community- scale undertaking or Community-scale group of undertakings as a whole or at least two of its establishments or group undertakings situated in different Member States; - the European Works Council will have a minimum of 3 members and a maximum of 30 members and, where its size so warrants, will elect a select committee of no more than 3 members; - four years after the European Works Council is established it shall examine whether to open negotiations for the conclusion of the agreement on the method of ensuring that employees are informed and consulted, or to continue to apply the subsidiary requirements adopted in accordance with the Annex; - the European Works Council will have the right to meet with the central management once a year, to be informed and consulted, on the basis of a report drawn up by the central management, of the progress of the business of the Community-scale undertaking or Community-scale group of undertakings and of its prospects; - where there are exceptional circumstances affecting the employees' interests to a considerable extent, particularly in the event of relocations, closures or collective redundancies, the select committee or, in the absence of such a committee, the European Works Council will have the right to be informed; - the members of the European Works Council will inform the employees' representatives of the content and outcome of the information and consultation procedure; - the operating expenses of the European Works Council will be borne by the central management; in compliance with this principle, Member States may lay down budgetary rules regarding the operation of the European Works Council.
Selon la position commune, ces prescriptions subsidiaires doivent satisfaire aux dispositions de l'annexe qui prévoient, entre autres, que : - la compétence du comité d'entreprise européen sera limitée à l'information et à la consultation sur les questions qui concernent l'ensemble de l'entreprise de dimension communautaire ou du groupe d'entreprises de dimension communautaire ou au moins deux établissements ou entreprises du groupe situés dans des Etats membres différents ; - le comité d'entreprise européen comptera au minimum 3 et au maximum 30 membres et élira, si sa taille le justifie, en son sein un comité restreint comprenant au maximum 3 membres ; - quatre ans après l'institution du comité d'entreprise européen, celui- ci examinera s'il convient d'entamer des négociations en vue de la conclusion de l'accord sur les modalités de mise en oeuvre de l'information et de la consultation des travailleurs, ou de maintenir l'application des prescriptions subsidiaires arrêtées en conformité avec l'annexe ; - le comité d'entreprise européen aura le droit de se réunir avec la direction centrale une fois par an pour être informé et consulté, sur la base d'un rapport établi par la direction centrale, de l'évolution des activités de l'entreprise de dimension communautaire ou du groupe d'entreprises de dimension communautaire et de ses perspectives ; - lorsque des circonstances exceptionnelles interviendront qui affecteront considérablement les intérêts des travailleurs, notamment en cas de délocalisation, de fermeture, ou de licenciements collectifs, le comité restreint ou, si celui-ci n'existait pas, le comité d'entreprise européen aura le droit d'en être informé ; - les membres du comité d'entreprise européen informeront les représentants des travailleurs de la teneur et des résultats de la procédure d'information et de consultation ; - les dépenses de fonctionnement du comité d'entreprise européen seront supportées par la direction centrale ; dans le respect de ce ...
