1a. Private-public limited liability companies formed under the law of a Member State and having registered offices within the Union may form an SPE provided that at least two of them:
1 bis. Les sociétés anonymes et les sociétés à responsabilité limitée de forme privée ou publique constituées selon le droit d'un État membre et ayant leur siège statutaire dans la Communauté peuvent constituer une SPE si deux d'entre elles au moins:

I know that there is a minority opinion on the subject in this House, but the majority opinion in Parliament’s Committee on Legal Affairs – from which I assume plenary will take its lead tomorrow – is that there must definitely be the possibility of a separation and that a European company form cannot be disadvantaged in relation to national company forms, which have this possibility under the case law of the European Court of Justice.

Supports the work on a European Private Company; maintains that any new company form (what is termed the "European Private Company") designed to simplify regulatory standards and procedures on a Europe-wide basis should not conflict with the rights of participation defined in other existing company models and that the relevant rights laid down in the directive on the European company statute should accordingly be extended in a coherent manner to apply to the European Private Company;

In the absence of a directive on the cross-border transfer of the registered office of a company the SE remains the only company form that allows companies to transfer their registered office to any other Member State without liquidation[4].

For that purpose, provision should be made for the creation, side by side with companies governed by a particular national law, of companies formed and carrying on business under the law created by a Community Regulation directly applicable in all Member States.
