IN-CONTEXT TRANSLATIONS

Under the transformation plan those 51 institutions will merge to form 10 larger banks: 8 regional banks with balance sheet totals of EUR 1,9 billion to EUR 5,3 billion, operating in different parts of Austria, and two special banks — Sparda Bank Austria (EUR 0,8 billion) and the Ärzte-/Apothekerbank (EUR 1,1 billion).

For the purpose of this Annex, the terms ‘merger’, ‘merging institutions’, and ‘acquiring institution’ have the meanings set out in Article 1 of Regulation (EC) No 1745/2003 (ECB/2003/9).

On the other hand, we are not prepared at this stage to state in which institution this merged office is to be set up.

Furthermore, the classification of legal and financial documents and instruments, with the introduction for the first time of a proper hierarchy of norms; the creation of the office of European Minister for Foreign Affairs – possibly the most innovative institutional figure to have emerged from the Convention’s work, following the merging of the duties performed thus far by the High Representative and the Commissioner for External Relations. Of equal importance is the potential future merging of the posts of Mr President-in-Office of the Council and Commission President.

6. In certain specific circumstances and with the consent of the competent authorities, where there is a merger of two or more credit institutions falling within the category referred to in paragraph 4, the own funds of the institution resulting from the merger may not fall below the total own funds of the merged institutions at the time of the merger, as long as the appropriate levels pursuant to paragraphs 1 and 2 have not been attained.
6. Dans certaines circonstances spécifiques et avec le consentement des autorités compétentes, lorsqu'une fusion intervient entre deux ou plusieurs établissements de crédit tombant dans la catégorie visée au paragraphe 4, les fonds propres de l'établissement résultant de la fusion ne peuvent pas tomber en dessous du total, à la date de la fusion, des fonds propres des établissements fusionnés, dès lors que les niveaux appropriés en vertu des paragraphes 1 et 2 n'ont pas été atteints.

However, territorial capacity shall not be regarded as modified in the case of a merger between such institutions which has the effect of maintaining for the benefit of the new institution the territorial capacity of the institutions which have merged, nor shall capacity as to the classes of insurance be regarded as modified if one of these institutions takes over in respect of the same territory one or more of the classes of another such institution.
