Brussels, 29 May 2012 - The European Commission has cleared under the Merger Regulation the proposed acquisition of a controlling stake in Interpane International Glas GmbH (Germany) and Interpane Glass Holding AG (Switzerland) (together, "Interpane") by AGC Glass Europe SA (Belgium), controlled by Asahi Glass Co., Ltd (Japan).

Post-transaction Interpane Glass Holding AG (Switzerland) will hold the solar glass activities of the Interpane group while Interpane International Glas GmbH will hold the remaining business.

On 17 April 2012, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking AGC Glass Europe SA, (‘AGC’, Belgium), controlled by Asahi Glass Co., Ltd (‘Asahi’, Japan), acquires within the meaning of Article 3(1)(b) of the Merger Regulation joint control of the whole of the undertakings Interpane International Glas GmbH (Germany) and Interpane Glass Holding AG (Switzerland) (together, ‘Interpane’) by way of purchase of shares.

This was recently confirmed in a report forwarded to the Commission by the European flat-glass producers group, which stated that Saint-Gobain would be opening a new factory at the end of 1999 in the United Kingdom, that Glaverbel and Pilkington would be opening another in Spain in mid-2000 and Interpane in France and Sangalli in Italy would also be doing the same at the end of 2000, all having the same production capacity of 500 tonnes a day (185000 gross tonnes a year).

The exclusivity in this case cannot in the circumstances be compared to exclusive licences of proprietary know-how which is ready for technical exploitation either in a licensor/licensee relationship (see Boussois/Interpane Decision (5) or where the licensor is a partner in a joint venture with which it can compete directly (see Commission Decision Mitchell-Cotts/Sofiltra (6).
L'exclusivité, en l'espèce, n'est pas, dans ces conditions, comparable à celle des licences exclusives de savoir-faire prêt à être exploité sur le plan technique soit dans les rapports entre un donneur de licence et un licencié (voir décision Boussois/Interpane) (1), soit lorsque le donneur de licence est un associé d'une entreprise commune qu'il peut concurrencer directement (voir décision Mitchell-Cotts/Sofiltra) (2).
