(e) ‘manager’ means any person working in a senior position who principally directs the management of the host entity within the structure of a company and who principally carries out management functions, receiving general supervision or direction principally from the board of directors or stockholders of the business or equivalent;
(e) "cadre", toute personne appartenant à l'encadrement supérieur, dont la fonction principale consiste à gérer l'entité hôte dans l'organigramme de la société et à exercer des fonctions de direction, sous le contrôle ou la direction générale du conseil d'administration ou des actionnaires ou de leurs équivalents;
