This includes information about the criteria and the procedures which are used to select particular qualifying portfolio undertakings as investment targets. This also includes information about the positive social impact to be achieved by the investment policy and how this should be monitored and assessed.

It concerns all financial transactions, namely the purchase and sale of a financial instrument, such as company shares, bonds, money-market instruments, units of undertakings for collective investment, structured products and derivatives and the conclusion or modification of derivatives agreements, on condition that at least one party to the transaction is established in a Member State and that a financial institution (such as investment firms, organised markets, credit institutions, insurance and reinsurance undertakings, collective investment undertakings and their managers, pension funds and their managers, and certain other undertakings where transactions constitute a significant part of their activity) established in a Member State is party to the transaction, acting either for its own account or for the account of another person, or is acting in the name of a party to the transaction.

However, a parent undertaking shall be required to aggregate its holdings with the holdings managed by a subsidiary undertaking where the parent undertaking, or another controlled undertaking of the parent undertaking, has invested in holdings managed by such management company or investment firm or third-country undertaking and the latter has no discretion to exercise the voting rights attached to such holdings and may exercise such voting rights only under direct or indirect instructions from the parent or another controlled undertaking of the parent undertaking.

‘financial holding company’ means a financial institution the subsidiary undertakings of which are either exclusively or mainly investment firms or other financial institutions, at least one of which is an investment firm, and which is not a mixed financial holding company within the meaning of Directive 2002/87/EC of the European Parliament and of the Council of 16 December 2002 on the supplementary supervision of credit institutions, insurance undertakings and investment firms in a financial conglomerate (9);

2. If the person proposing to acquire the holdings referred to in paragraph 1 is a credit institution, insurance undertaking or investment firm authorised in another Member State or the parent undertaking of a credit institution, insurance undertaking or investment firm authorised in another Member State or a natural or legal person controlling a credit institution, insurance undertaking or investment firm authorised in another Member State, and if, as a result of that acquisition, the credit institution in which the acquirer proposes to hold a holding would become a subsidiary or subject to the control of the acquirer, the assessment of the acquisition shall be subject to the prior consultation provided for in Article 15.
2.
