Calls on the Commission to encourage portability and interoperability in order to stimulate the free circulation of legally acquired, and legally made available, content or services throughout the whole EU, as well as the accessibility and cross-border functionality of subscriptions, while respecting that some economic models are based on the territoriality of rights in Europe, particularly regarding the financing of audiovisual productions and especially pre-funded film productions, which allows for strong cultural diversity; stresses that there is no contradiction between the principle of territoriality and measures to promote portability of content; believes that pan-European licenses should remain an option, should be introduced on a voluntary basis and preceded by an impact evaluation; stresses that such licenses cannot replace territoriality and that funding models for audio-visual works are based on national licensing models tailored for the national markets’ characteristics; calls, with regard to Article 118 TFEU, for EU-wide rights management to be developed further and made more attractive;

If the acquirer of the holdings referred to in Article 19 is an insurance undertaking, a reinsurance undertaking, a credit institution or an investment firm authorised in another Member State, or the parent undertaking of such an entity, or a natural or legal person controlling such an entity, and if, as a result of that acquisition, the undertaking in which the acquirer proposes to acquire such a holding would become a subsidiary or subject to the control of the acquirer, the assessment of the acquisition must be subject to the prior consultation referred to in Article 14.

3. Member States shall require any natural or legal person or such persons acting in concert (hereinafter referred to as the proposed acquirer), who have taken a decision either to acquire, directly or indirectly, a qualifying holding in an investment firm or to further increase, directly or indirectly, such a qualifying holding in an investment firm as a result of which the proportion of the voting rights or of the capital held would reach or exceed 20 %, 30 % or 50 % or so that the investment firm would become its subsidiary (hereinafter referred to as the proposed acquisition), first to notify in writing the competent authorities of the investment firm in which they are seeking to acquire or increase a qualifying holding, indicating the size of the intended holding and relevant information, as referred to in Article 10b(4).
3. Les États membres exigent de toute personne physique ou morale, agissant seule ou de concert avec d'autres (ci-après dénommée «candidat acquéreur»), qui a pris la décision soit d'acquérir, directement ou indirectement, une participation qualifiée dans une entreprise d'investissement, soit de procéder, directement ou indirectement, à une augmentation de cette participation qualifiée dans une entreprise d'investissement, de telle façon que la proportion de droits de vote ou de parts de capital détenue atteigne ou dépasse les seuils de 20 %, de 30 % ou de 50 % ou que l'entreprise d'investissement devienne sa filiale (ci-après dénommée «acquisition envisagée»), qu'elle notifie par écrit au préalable aux autorités compétentes de l'entreprise d'investissement dans laquelle elle souhaite acquérir ou augmenter une participation qualifiée le montant envisagé de sa participation et les informations pertinentes visées à l'article 10 ter, paragraphe 4.

If the acquirer of the holding referred to in paragraph 1 is an investment firm, a credit institution or an insurance undertaking authorised in another Member State, or the parent undertaking of an investment firm, credit institution or insurance undertaking authorised in another Member State, or a natural or legal person controlling an investment firm, credit institution or insurance undertaking authorised in another Member State, and if, as a result of that acquisition, the undertaking in which the acquirer proposes to acquire a holding would become the acquirer's subsidiary or come under his control, the assessment of the acquisition must be subject to the prior consultation provided for in Article 6".
