TRADUCTIONS EN CONTEXTE

A. whereas distribution agreements are regulated at EU level through two separate legal frameworks, namely, on the one hand, a Directive providing for the coordination of national laws regarding commercial representation agreements (Directive 86/653/EEC, the so-called Commercial Agency Directive), and, on the other hand, two block exemption regulations in the context of competition law as far as vertical distribution agreements are concerned (the current GBER and the current MVBER),
A. considérant que les accords de distribution sont réglementés au niveau de l'Union européenne au moyen de deux cadres juridiques distincts, à savoir, d'une part, la directive relative à la coordination des droits des États membres concernant les agents commerciaux indépendants (directive 86/653/CEE), et, d'autre part, deux règlements d'exemption par catégorie en matière de droit de la concurrence concernant des accords de distribution verticaux (le RGEC actuel et le RECSA actuel),

Whereas the differences in national laws concerning commercial representation substantially affect the conditions of competition and the carrying-on of that activity within the Community and are detrimental both to the protection available to commercial agents vis-à-vis their principals and to the security of commercial transactions; whereas moreover those differences are such as to inhibit substantially the conclusion and operation of commerical representation contracts where principal and commercial agents are established in different Member States;
considérant que les différences entre les législations nationales en matière de représentation commerciale affectent sensiblement, à l'intérieur de la Communauté, les conditions de concurrence et l'exercice de la profession et portent atteinte au niveau de protection des agents commerciaux dans leurs relations avec leurs commettants, ainsi qu'à la sécurité des opérations commerciales; que, par ailleurs, ces différences sont de nature à gêner sensiblement l'établissement et le fonctionnement des contrats de représentation commerciale entre un commettant et un agent commercial établis dans des États membres différents;

Whereas trade in goods between Member States should be carried on under conditions which are similar to those of a single market, and this necessitates approximation of the legal systems of the Member States to the extent required for the proper functioning of the common market; whereas in this regard the rules concerning conflict of laws do not, in the matter of commercial representation, remove the inconsistencies referred to above, nor would they even if they were made uniform, and accordingly the proposed harmonization is necessary notwithstanding the existence of those rules;
considérant que les échanges de marchandises entre États membres doivent s'effectuer dans des conditions analogues à celles d'un marché unique, ce qui imposte le rapprochement des systèmes juridiques des États membres dans la mesure nécessaire au bon fonctionnement de ce marché commun; que, à cet égard, les règles de conflit de lois, même unifiées, n'éliminent pas, dans le domaine de la représentation commerciale, les inconvénients relevés ci-dessus et ne dispensent dès lors pas de l'harmonisation proposée;
