These actions together with the associated flanking activities and studies listed, constitute a decisive first step in building an effective IP enforcement policy targeted at commercial scale infringements at EU and national levels. The objective should be to arrive at a renewed consensus on how Intellectual Property Rights are exercised, and in a manner which fully involves all relevant stakeholders.

This will provide guidance on how public authorities can address the main barriers which currently exist and how ownership and exploitation of RD results and associated intellectual property rights can be best combined with the fundamental missions of public research organisations.

(b) "technology transfer agreement" means a patent licensing agreement, a know-how licensing agreement, a software copyright licensing agreement or a mixed patent, know-how or software copyright licensing agreement, including any such agreement containing provisions which relate to the sale and purchase of products or which relate to the licensing of other intellectual property rights or the assignment of intellectual property rights, provided that those provisions do not constitute the primary object of the agreement and are directly related to the production of the contract products; assignments of patents, know-how, software copyright or a combination thereof where part of the risk associated with the exploitation of the technology remains with the assignor, in particular where the sum payable in consideration of the assignment is dependent on the turnover obtained by the assignee in respect of products produced with the assigned technology, the quantity of such products produced or the number of operations carried out employing the technology, shall also be deemed to be technology transfer agreements;

The exemption shall apply for as long as the intellectual property right in the licensed technology has not expired, lapsed or been declared invalid or, in the case of know-how, for as long as the know-how remains secret, except in the event where the know-how becomes publicly known as a result of action by the licensee, in which case the exemption shall apply for the duration of the agreement.

5. For the purpose of this Agreement, intellectual property includes in particular copyright, including the copyright on computer programmes, and neighbouring rights, including artistic designs, and industrial property which includes utility models, patents including patents for bio-technological inventions and plant varieties or other effective sui generis systems, industrial designs, geographical indications including appellations of origin, trademarks for goods or services, topographies of integrated circuits as well as the legal protection of data bases and the protection against unfair competition as referred to in Article 10a of the Paris Convention for the Protection of Industrial Property and protection of undisclosed confidential information on know how.
5. Aux fins du présent accord, les droits de propriété intellectuelle couvrent en particulier les droits d'auteur, y compris les droits d'auteur en matière de logiciels informatiques, et les droits voisins, y compris les modèles artistiques, et la propriété industrielle qui inclut les modèles d'utilité, les brevets, y compris les brevets concernant les inventions biotechnologiques et les espèces végétales ou d'autres systèmes sui generis, les dessins et modèles industriels, les indications géographiques, y compris les appellations d'origine, les marques des marchandises et services, les topographies de circuits intégrés ainsi que la protection juridique des bases de données et la protection contre la concurrence déloyale visée à l'article 10bis de la Convention de Paris pour la protection de la propriété industrielle et la protection de renseignements confidentiels non divulgués en matière de savoir-faire.

(7) The joint exploitation of results can be considered as the natural consequence of joint research and development. It can take different forms ranging from manufacture to the exploitation of intellectual property rights or know-how that substantially contributes to technical or economic progress. In order to attain the benefits and objectives described above and to justify the restrictions of competition which are exempted, the joint exploitation must relate to products or processes for which the use of the results of the research and development is decisive. Joint exploitation is not therefore justified where it relates to improvements which were not made within the framework of a joint research and development programme but under an agreement having some other principal objective, such as the licensing of intellectual property rights, joint manufacture or specialization, and merely containing ancillary provisions on joint research and development.
(7) considérant que l'exploitation en commun des résultats peut être considérée comme un complément découlant d'une recherche et d'un développement entrepris en commun ; que celle-ci peut s'effectuer suivant différentes modalités de fabrication ou d'utilisation de droits de propriété intellectuelle ou d'un savoir-faire qui contribue de façon substantielle au progrès technique ou économique ; que, pour atteindre les objectifs et avantages visés et justifier les restrictions de concurrence exemptées, ces modalités ne peuvent s'appliquer qu'à des produits ou procédés pour lesquels la mise en oeuvre des résultats de la recherche et du développement est déterminante ; que l'exploitation en commun ne se justifie donc pas lorsqu'elle concerne des améliorations qui n'ont pas été réalisées dans le cadre d'un programme de recherche et de développement en commun mais seulement à l'occasion de l'application d'un accord ayant un autre objectif principal, par exemple l'octroi de licences de propriété intellectuelle, la fabrication en commun ou la spécialisation et comportant seulement à titre accessoire certaines clauses relatives à la recherche et au développement en commun;

(3) Agreements providing for both joint research and development and joint exploitation of the results may fall within Article 85 (1) because the parties jointly determine how the products developed are manufactured or the processes developed are applied or how related intellectual property rights or know-how are exploited.
