In order to make Union financial markets more transparent and efficient and to level the playing field between various venues offering multilateral trading services it is necessary to introduce a new trading venue category of organised trading facility (OTF) for bonds, structured finance products, emissions allowances and derivatives and to ensure that it is appropriately regulated and applies non-discriminatory rules regarding access to the facility.
Pour rendre les marchés financiers de l’Union plus transparents et efficients et en vue de garantir l’égalité des conditions de concurrence entre les différents systèmes proposant des services de négociation multilatéraux, il est nécessaire d’introduire une nouvelle catégorie de plate-forme de négociation à savoir un système organisé de négociation (OTF - organised trading facility) pour les obligations, les produits financiers structurés, les quotas d’émission et les instruments dérivés et de veiller à ce que cette catégorie soit dûment réglementée et qu’elle applique pour l’accès au système des règles non discriminatoires.

To ensure coherence, specific forms should be used where an investment firm or a market operator, operating a multilateral trading facility or organised trading facility wishes to provide within the territory of another Member State appropriate arrangements so as to facilitate access to and trading on those systems by remote users, members or participants established in that Member State, in order to ensure the adequacy of both the information submitted by the investment firm or market operator to the competent authority of the home Member State and the information submitted by the competent authority of the home Member State to the competent authority of the host Member State.

It is important to recognise the need for competent authorities to receive complete information about the purpose, structure and organisation of multilateral trading facilities (MTFs) and organised trading facilities (OTFs) that they will be required to supervise in order to ensure the efficient and orderly functioning of financial markets.

(2c) 'over-the-counter trading' means bilateral trading which is carried out by an eligible counterparty on its own account, outside a trading venue or a systematic internaliser, on an occasional and irregular basis with eligible counterparties and always at large in scale sizes; (3) ‘systematic internaliser’ means an investment firm which, on an organised, regular and systematic basis, deals on own account by executing client orders outside a regulated market, a multilateral trading facility or an organised trading facility, in a bilateral system;
