Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. These rules are also designed to strengthen the role and rights of shareholders, in particular through better information and financial transparency. However, the recent financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.

The Court has held that this means all the advantages which, whether or not linked to a contract, are generally granted to national workers primarily because of their objective status as workers or by virtue of the mere fact of their residence on the national territory and whose extension to workers who are nationals of other Member States therefore seems likely to facilitate the mobility of such workers within the Community [37].

With this aim in mind, it calls for the youth workers responsible for providing young people with information to receive training enabling them to: - become better acquainted with the Member States and their practices in the field of youth information; - acquire a knowledge of Community programmes, in liaison with all the agencies responsible for administering programmes on the national level and with the appropriate services at Community level (b) Network links: the Council notes the current trends in connection with the development of multi-media products and considers that the services producing, editing and circulating information are especially concerned by these new technologies.

WORKER INFORMATION AND CONSULTATION The Council held a discussion on the Commission communication on worker information and consultation and on the following points in particular: - the advisability of making the "European company", the "European association", the "European co-operative society" and the "European mutual society" subject to Community rules on worker information and consultation at national level in addition to the existing Directive on European Works Councils; - the desirability of rules for worker participation in the organs of those entities; - the desirability of a mandatory link between the regulations concerning the four entities and the relevant rules on worker information, consultation and, where appropriate, participation; - the advisability of setting up a high-level study group to provide a more thorough knowledge of national systems and draw up recommendations for future action.
VOORLICHTING EN RAADPLEGING VAN DE WERKNEMERS De Raad hield een debat over de mededeling van de Commissie inzake de voorlichting en de raadpleging van de werknemers, met name over de volgende thema's : - is het wenselijk de "Europese vennootschap", de "Europese vereniging", de "Europese coöperatieve vennootschap" en de "Europese onderlinge maatschappij" te onderwerpen aan communautaire regels betreffende voorlichting en raadpleging op nationaal niveau, ter aanvulling van de bestaande richtlijn over de Europese ondernemingsraden ? - is het wenselijk dat er regels komen voor medezeggenschap van de werknemers binnen de organen van deze juridische lichamen ? - is het wenselijk een dwingend verband te leggen tussen de verordeningen over de vier juridische lichamen en de relevante regels inzake voorlichting, raadpleging en eventueel medezeggenschap ? - is het wenselijk op hoog niveau een reflectiegroep in te stellen om de kennis van de nationale systemen te verruimen en aanbevelingen voor toekomstige stappen te doen ?

The Commission is convinced that a fully functioning Single Market requires: * in VAT, a system which is much simpler, more objective and more modern and which, applying the tax according to the origin principle, will treat intra-Community transactions as equivalent to domestic ones; * on excise duties, progress in approximating excise duty rates where this is justified by the freedom of movement for goods and the joint implementation of other Community policies in accordance with the consultation process introduced for these product categories; * in the personal tax area, non-discriminatory treatment of frontier workers and other non-resident taxpayers, the ending of double taxation and the elimination of tax disadvantages linked to cross-border financial transactions (insurance premiums, pensions, mortgage interest payments, etc.); * with regard to tax on cross-border income flows, reducing the discriminatory treatment of subsidiaries established in other Member States, abolishing double taxation on interest and royalty payments, and permitting parent companies to take into account the losses of subsidiaries in other Member States, while avoiding the risk for Member States of revenue losses. c. Promoting employment and completing EMU The need for action in the taxation field to promote employment, indicated by the White Paper on Growth, Competitiveness and Employment, has been restated by a number of European Councils.
De Commissie is ervan overtuigd dat een goed functionerende interne markt het volgende vereist: * ten aanzien van de BTW, een sterk vereenvoudigd systeem, objectiever en moderner, gebaseerd op de herkomst van goederen en een gelijke afhandeling van alle transacties in de hele Gemeenschap, ongeacht of het gaat om binnenlands of intracommunautair handelsverkeer; * ten aanzien van de accijnzen, een verdere onderlinge toenadering van de accijnstarieven daar waar het vrije verkeer van goederen en de gemeenschappelijke uitvoering van beleidsmaatregelen op andere terreinen dit rechtvaardigen, in overeenstemming met het raadplegingsproces dat voor deze categorieën produkten is ingevoerd; * ten aanzien van de inkomstenbelasting voor natuurlijke personen, een methode die geen onderscheid maakt tussen grensarbeiders en andere niet- ingezetenen, de afschaffing van de dubbele belastingheffing en het wegnemen van fiscale discriminatie in verband met grensoverschrijdende financiële transacties (verzekeringspremies, pensioenen, rente op hypotheekleningen, enzovoorts); * ten aanzien van de belasting op grensoverschrijdende inkomsten, vermindering van de discriminatie van dochterondernemingen van bedrijven die in andere Lid-Staten zijn gevestigd, afschaffing van de dubbele belastingheffing op rente en vergoedingen en toestaan dat moedermaatschappijen verliezen van dochterondernemingen in andere Lid- Staten in aanmerking nemen, zonder dat afbreuk wordt gedaan aan de mogelijkheden van de Lid-Staten om op adequate wijze de belasting te innen. c. Bevordering van de werkgelegenheid en de voltooiing van de EMU De noodzaak om op het gebied van de belastingen maatregelen te nemen om de werkgelegenheid te bevorderen, zoals aangegeven in het Witboek over groei, concurrentievermogen en werkgelegenheid, is op talrijke Europese Raden onderschreven.
