TRADUCTIONS EN CONTEXTE

AE. overwegende dat van de onderlinge maatschappijen verwacht wordt dat zij een rol spelen bij de aanpak van deze uitdagingen samen met de particuliere sector en dat zij daarom binnen de Unie moeten kunnen opereren onder gelijke concurrentievoorwaarden als die welke voor andere ondernemingsvormen gelden; overwegende dat de bestaande Europese statuten, zoals die voor de Europese Coöperatieve Vennootschap (SCE) of de Europese Vennootschap (SE), niet geschikt zijn voor onderlinge maatschappijen omdat zij een ander bestuursmodel kennen;
Ae. whereas mutual societies have a role to play in meeting these challenges alongside the private sector and must, in order to do so, be able to compete on equal terms with other forms of undertaking in the Union; whereas the existing European statutes, such as those for the European cooperative (SCE) or the European company (SE), are not suitable for mutual societies due to the differences between their governance models;

12. verzoekt de Commissie de voorstellen inzake een Europese onderlinge vennootschap en een Europese vereniging niet in te trekken en nodigt de Commissie dientengevolge uit zo spoedig mogelijk met een voorstel te komen voor een veertiende richtlijn inzake grensoverschrijdende bedrijfsoverplaatsing en de haalbaarheidsstudie om de concrete behoefte aan een Europese private vennootschap en de eventueel met de oprichting hiervan verband houdende problemen in kaart te brengen, af te ronden;

Requests that the Commission not withdraw its proposals on a European mutual society and on a European association, and calls on the Commission to submit as soon as possible a proposal for a 14th directive on cross-border transfer of registered offices and to complete the feasibility study on assessing the specific need for a European private company and the problems that its creation would pose;

Evenals bij het voostel betreffende het statuut van de Europese naamloze vennootschap uit 1989 is in de drie voorstellen voor verordeningen betreffende respectievelijk de Europese coöperatieve vennootschap, de Europese vereniging en de Europese onderlinge vennootschap in 1991 als rechtsgrondslag artikel 100 A (nieuw art. 95) van het EG-Verdrag gekozen.
Following the pattern of the 1989 proposal for a statute for a European company, the three 1991 proposals for regulations on a European cooperative society, a European association and a European mutual society took Article 100a (now Article 95) of the EC Treaty as the legal basis.

Sinds de Commissie in 1970 het in 1975 gewijzigde voorstel voor een verordening betreffende het statuut van de Europese naamloze vennootschap heeft ingediend, is bij de werkzaamheden inzake de onderlinge aanpassing van het vennootschapsrecht van de lidstaten een aanmerkelijke vooruitgang geboekt, zodat voor de SE op gebieden waarop voor haar werking geen uniforme communautaire regels noodzakelijk zijn, kan worden verwezen naar de wetgeving inzake naamloze vennootschappen van de lidstaat waar zij haar statutaire zetel heeft.
Since the Commission's submission in 1970 of a proposal for a Regulation on the Statute for a European public limited-liability company, amended in 1975, work on the approximation of national company law has made substantial progress, so that on those points where the functioning of an SE does not need uniform Community rules reference may be made to the law governing public limited-liability companies in the Member State where it has its registered office.
