2. Where a cross-border merger by acquisition is carried out by a company which holds 90 % or more, but not all, of the shares and other securities conferring the right to vote at general meetings of the company or companies being acquired, reports by an independent expert or experts and the documents necessary for scrutiny shall be required only to the extent that the national law governing either the acquiring company or the company or companies being acquired so requires, in accordance with Chapter I of Title II.

A notice or document required by this Act to be sent to or served on a company, a society, a foreign company, a provincial company or an insurance holding company may be sent by registered mail to the head office or chief agency, as the case may be, of the company, society, foreign company, provincial company or insurance holding company and, if so sent, is deemed to be received or served at the time it would be delivered in the ordinary course of mail unless there are reasonable grounds for believing that the company, society, foreign company, provincial company or insurance holding company did not receive the notice or document at that time or at all.

(2) If a company, society, foreign company, provincial company or insurance holding company sends a notice or document to a shareholder, member or policyholder in accordance with section 1008 and it is returned on two consecutive occasions because the shareholder, member or policyholder cannot be found, the company, society, foreign company, provincial company or insurance holding company is not required to send any further notices or documents to them until it is informed in writing of their new address.

(a) the nature of the responsible issuer; (b) the knowledge, experience and function of the person or company; (c) the office held, if the person was an officer; (d) the presence or absence of another relationship with the responsible issuer, if the person was a director; (e) the existence, if any, and the nature of any system designed to ensure that the responsible issuer meets its continuous disclosure obligations; (f) the reasonableness of reliance by the person or company on the responsible issuer's disclosure compliance system and on the responsible issuer's officers, employees and others whose duties would in the ordinary course have given them knowledge of the relevant facts; (g) the period within which disclosure was required to be made under the applicable law; (h) in respect of a report, statement or opinion of an expert, any professional standards applicable to the expert; (i) the extent to which the person or company knew, or should reasonably have known, the content and medium of dissemination of the document or public oral statement; (j) in the case of a misrepresentation, the role and responsibility of the person or company in the preparation and release of the document or the making of the public oral statement containing the misrepresentation or the ascertaining of the facts contained in that document or public oral statement; and

(15) A person or company is not liable in an action under section 206 in respect of a misrepresentation in a document, other than a document required to be filed with the Commission, if the person or company proves that, at the time of release of the document, the person or company did not know and had no reasonable grounds to believe that the document would be released.

(Return tabled) Question No. 366 Mr. Claude Gravelle: With regard to Canadian mining companies: (a) what is the government's position on the use of leach mining in Canada and internationally; (b) have the impacts of leach mining on adjacent communities been studied and, if so, what are the titles of the documents of these studies; (c) what is the government's position on the use of private security firms by Canadian mining companies internationally; (d) what countries has the government, directly or through foreign representation, been actively lobbying or encouraging to lower royalties and taxes on foreign mining companies; (e) has the government been tracking what companies have outstanding taxes or debts owed to foreign countries and, if so, how much do these companies owe foreign countries by company, country, type of debt, amount of debt; (f) what is the government's position on conflicts between Canadian mining companies and indigenous peoples in Canada and internationally; (g) what is the government's position on the displacement of indigenous peoples and Canadian mining companies internationally; (h) what is the government's position on the contamination of water supplies by Canadian mining companies internationally; and (i) what is the government's position on making the corporate social responsibility framework for mining companies mandatory instead of voluntary?

4. Where a management company is authorised pursuant to Directive 2009/65/EC (UCITS management company) and applies for authorisation as an AIFM under this Directive, the competent authorities shall not require the UCITS management company to provide information or documents which the UCITS management company has already provided when applying for authorisation under Directive 2009/65/EC, provided that such information or documents remain up-to-date.

5. The board of the offeree company shall draw up and make public a document setting out its opinion of the bid and the reasons on which it is based, including its views on the effects of implementation of the bid on all the company’s interests and specifically employment, and on the offeror’s strategic plans for the offeree company and their likely repercussions on employment and the locations of the company’s places of business as set out in the offer document in accordance with Article 6(3)(i).
5. (o) 'company' shall mean a company operating one or more ro-ro ferries to which a document of compliance has been issued in compliance with Article 5(2) of Council Regulation (EC) No 3051/95 of 8 December 1995 on the safety management of roll on roll off passenger ferries (ro-ro ferries) or a company operating high speed passenger craft, to which a document of compliance has been issued in accordance with Regulation IX/4 of the 1974 Solas Convention, in its up-to-date version".
