Member States shall require any natural or legal person or such persons acting in concert (the "proposed acquirer"), who have taken a decision either to acquire, directly or indirectly, a qualifying holding in a credit institution or to further increase, directly or indirectly, such a qualifying holding in a credit institution as a result of which the proportion of the voting rights or of the capital held would reach or exceed 20 %, 30 % or 50 % or so that the credit institution would become its subsidiary (the "proposed acquisition"), to notify the competent authorities of the credit institution in which they are seeking to acquire or increase a qualifying holding in writing in advance of the acquisition, indicating the size of the intended holding and the relevant information, as specified in accordance with Article 23(4).

The Directive on the reorganisation and winding up of credit institutions provides that, in the event of the bankruptcy of a credit institution which has branches in other Member States, reorganisation measures and the winding up proceedings form part of a single insolvency procedure in the Member State in which the establishment has its registered office (the so‑called ‘State of origin’).

To that end, and given its own slim structures and therefore lack of a prospecting network of its own, the ECF will need to seek the assistance of : - its shareholders, which will have to transmit projects to it; - its national correspondents, i.e. the other institutions in the Club which are not shareholders; - the credit institutions and investment companies of which the members of the Club are shareholders; - public and private, national and local credit institutions and investment companies, with which the ECF will have to establish "personal" links; - the Commission, which knows the efficient firms through the programmes it supports (technology, Esprit, Eureka, etc.); - the EIB; - the EVCA (European Venture Capital Association). The Commission has approved an operation by which the Swiss Insurance Group SWISS LIFE acquires a significant stake of the share capital of Belgian Credit Institution "Institut National de Crédit Agricole" (I.N.C.A.) following the purchase of part of the share capital of this credit institution previously held by the belgian state through the state owned holding company "Société Fédérale de Participations" (S.F.P.) As a result of this operation, SWISS LIFE will acquire joint control of I. N.C.A. together with Belgium mutual credit institutions "Agricaisse" and "Lanbokas".
