“insurance holding company” means a parent undertaking which is not a mixed financial holding company and the main business of which is to acquire and hold participations in subsidiary undertakings, where those subsidiary undertakings are exclusively or mainly insurance or reinsurance undertakings, or third-country insurance or reinsurance undertakings, at least one of such subsidiary undertakings being an insurance or reinsurance undertaking.

4. Where persons hold participations or capital ties in one or more regulated entities or exercise significant influence over such entities without holding a participation or capital ties, other than the cases referred to in paragraphs 2 and 3, the relevant competent authorities shall, by common agreement and in conformity with national law, determine whether and to what extent supplementary supervision of the regulated entities is to be carried out, as if they constitute a financial conglomerate.
4. (i) 'insurance holding company' shall mean a parent undertaking, the main business of which is to acquire and hold participations in subsidiary undertakings, where those subsidiary undertakings are exclusively or mainly insurance undertakings, reinsurance undertakings, or non-member-country insurance undertakings, at least one of such subsidiary undertakings being an insurance undertaking, and which is not a mixed financial holding company within the meaning of Directive 2002/87/EC of the European Parliament and of the Council of 16 December 2002 on the supplementary supervision of credit institutions, insurance undertakings and investment firms in a financial conglomerate(30).
i) 'société holding d'assurance': une entreprise mère dont l'activité principale consiste à acquérir et à détenir des participations dans des entreprises filiales lorsque ces entreprises filiales sont exclusivement ou principalement des entreprises d'assurance, des entreprises de réassurance ou des entreprises d'assurance de pays tiers, l'une au moins de ces entreprises filiales étant une entreprise d'assurance, et qui n'est pas une compagnie financière holding mixte au sens de la directive 2002/487/CE du Parlement européen et du Conseil du 16 décembre 2002 relative à la surveillance complémentaire des établissements de crédit, des entreprises d'assurance et des entreprises d'investissement appartenant à un conglomérat financier(30).

Where persons hold participations or capital ties in one or more regulated entities or exercise significant influence over such entities without holding a participation or capital ties, or persons are linked to one or more regulated entities by a relationship within the meaning of Article 12(1) of Directive 83/349/EEC , other than in the cases referred to in paragraphs 2 and 3 of this Article , the competent authorities concerned shall determine whether and to what extent these entities together with other entities shall be treated as if they were a financial conglomerate and supplementary supervision is to be carried out to the regulated entities.
